Confidentiality

Each party agrees that all non-public information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information") will be held in confidence and used only to perform obligations under this Enrollment Form. Confidential Information shall not include information that (a) becomes publicly available without breach of this provision, (b) is rightfully received from a third party without obligation of confidentiality, or (c) is independently developed without use of the other party's Confidential Information. The receiving party shall take commercially reasonable measures to protect such Confidential Information.

Governing Law

This Enrollment Form and any disputes arising out of or related to it shall be governed by the laws of the State of without regard to conflict of law principles.

Entire Agreement and Amendments

This Enrollment Form, including the Scope of Work and any referenced attachments, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior proposals, negotiations, and agreements. Any amendment to this Enrollment Form must be made in writing and signed by authorized representatives of both parties.
