Recitals

WHEREAS, Client operates retail or service locations where customers interact with Client's personnel and seeks to obtain timely, actionable feedback through a Customer Feedback QR Code Survey;

WHEREAS, Service Provider is engaged in the business of creating, hosting, and managing digital surveys and QR code delivery mechanisms and represents that it has the capability to provide the survey services described in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Scope of Work

Service Provider shall design, implement, host, and maintain the Customer Feedback QR Code Survey described below. Services shall include generation of unique QR codes per designated location, survey form creation, data collection, and delivery of aggregate results to Client according to the payment schedule.

Payment Terms

Client shall pay Service Provider fees for services performed under this Agreement as set forth below. Unless otherwise agreed in writing, invoiced amounts shall be net of taxes and payable according to the schedule below.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated pursuant to this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above. Termination shall not relieve Client of its obligation to pay for services performed through the date of termination.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party that is marked confidential or that a reasonable person would consider confidential under the circumstances ("Confidential Information"). Service Provider shall not disclose survey responses or any personal data collected through the survey except as required to perform the services or as authorized by Client. Except as required by law, neither party shall disclose Confidential Information to third parties without prior written consent. Confidentiality obligations shall survive termination for a period of three (3) years or as required by applicable data protection laws when personal data retention is involved.

Data Handling and Privacy

Service Provider agrees to implement reasonable technical and organizational measures to protect survey data from unauthorized access, loss, or disclosure. Personal data shall be processed only for purposes set forth in this Agreement. Service Provider shall notify Client without undue delay upon becoming aware of any data breach affecting Client data and shall cooperate in remediation efforts.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties. The parties agree that venue for any dispute arising out of this Agreement shall lie in the competent courts of the applicable jurisdiction.

Warranties; Liability

Service Provider warrants that the services will be performed in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, SERVICES ARE PROVIDED "AS IS" AND EACH PARTY DISCLAIMS ALL OTHER WARRANTIES. Except for liability arising from a party's gross negligence or willful misconduct, neither party shall be liable for indirect, incidental, special, or consequential damages. Liability for direct damages shall be limited to fees paid to Service Provider under this Agreement in the twelve (12) months preceding the claim.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification must be in writing signed by authorized representatives of both parties.
