CUSTOMER INFORMATION FORM

Please complete this Customer Information Form and the accompanying service provisions. All information provided is incorporated into the attached General Business Agreement between the parties and is relied upon by the Company for billing, provisioning, and legal notices.

WHEREAS, the Company is engaged in the business of providing professional services and related products as set forth herein; and

WHEREAS, the Customer has completed this Customer Information Form to provide necessary legal, billing, and operational information to the Company for the purpose of ordering services; and

WHEREAS, the parties intend to set forth their respective rights and obligations in this Agreement and the attached Scope of Work.

Scope of Work

The Company will perform the services described below. The Customer acknowledges that performance, timelines, and deliverables are governed by the Scope of Work described here and any attached exhibits.

Payment Terms

The Customer shall pay the Company for services in accordance with the following terms. All fees are payable in U.S. dollars unless otherwise agreed in writing.

Unless otherwise agreed, the Customer shall be responsible for all reasonable costs of collection, including attorneys' fees and court costs, for past-due balances. The Company reserves the right to suspend services for nonpayment after issuing at least one written notice.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate for cause on material breach where the breaching party fails to cure within thirty (30) days of written notice. Termination shall not relieve the Customer of its obligation to pay accrued fees and expenses.

Confidentiality

Each party shall hold in confidence all non-public information disclosed by the other party that is marked confidential or that, by its nature, should reasonably be considered confidential ("Confidential Information"). Confidential Information shall not include information that is publicly known through no breach by the receiving party or that is independently developed without use of the disclosing party's Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement

This Customer Information Form, together with the Scope of Work and any exhibits executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements. Any amendment must be in writing and signed by authorized representatives of both parties.
