SCOPE OF WORK

The Issuer shall provide custody, issuance, retrieval and limited key duplication services as described below. Customer acknowledges that Issuer's obligations are limited to the specific actions set forth in the Scope of Work and any related service orders.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period specified above. Upon termination, Customer shall promptly return all Keys to Issuer and shall be responsible for fees described herein.

RETURN, LOSS, AND LIABILITY

Customer acknowledges receipt of the Keys listed above and agrees to safeguard them. Customer shall promptly return all Keys upon expiration or termination of this Agreement or upon Issuer's demand. Lost or unreturned Keys will result in replacement and rekeying charges and any security costs incurred by Issuer. Replacement fee: $ per lost key, plus actual rekeying costs where applicable.

Customer assumes all liability for unauthorized use of Keys issued to Customer, except to the extent caused by Issuer's gross negligence or willful misconduct. Customer shall indemnify and hold Issuer harmless from claims, damages or costs arising from Customer's failure to comply with this Agreement.

CONFIDENTIALITY

Customer and Issuer each acknowledge that information concerning Key systems, access codes, tagging conventions, security protocols and related operational details constitute Confidential Information. Each party shall not disclose Confidential Information to third parties and shall use at least the same degree of care to protect such information as it uses to protect its own confidential information, but in no event less than reasonable care. Confidentiality obligations survive termination of this Agreement for a period of three (3) years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law provisions.

ENTIRE AGREEMENT

This Agreement, including the Key Inventory and any written attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether oral or written, regarding such subject matter. No modification shall be effective unless in writing and signed by both parties.
