CUSTOMER LOYALTY PROGRAM AGREEMENT

WHEREAS

WHEREAS, Program Operator conducts business and seeks to promote customer retention and increase sales through a customer loyalty program that provides points, rewards, discounts, or other benefits to enrolled customers; and

WHEREAS, Program Administrator has the expertise, systems, and personnel necessary to administer the Customer Loyalty Program, including enrollment, points accrual, redemption processing, reporting, and data management; and

WHEREAS, the parties desire to set forth the terms and conditions under which the Program Administrator will provide services and Program Operator will compensate Program Administrator.

SCOPE OF WORK

The Program Administrator shall perform the services described above, which shall include enrollment of eligible customers, management of points ledgers, processing of redemptions, provision of customer support, generation of program reports, and reasonable cooperation with Program Operator's marketing activities. Program Administrator shall maintain records sufficient to verify accrual and redemption of points and shall deliver monthly reports to Program Operator.

ENROLLMENT; ELIGIBILITY

Enrollment shall be available to customers who meet Program Operator's eligibility criteria set forth in the program rules. Program Administrator will enroll customers upon presentation of required information and will assign unique account identifiers. Program Operator authorizes Program Administrator to collect and verify customer information as reasonably necessary for program operation.

REWARDS, POINTS ACCRUAL, AND REDEMPTION

Points are not transferable except as expressly permitted by Program Operator. Program Administrator shall implement controls to prevent duplicate redemptions and shall follow Program Operator's instructions with respect to blackout dates, excluded SKUs, or merchant-specific restrictions.

EXPIRATION; SUSPENSION; FRAUD

Points Expiration (months of inactivity or fixed term):

Program Administrator shall monitor for fraudulent activity, report suspected abuse immediately to Program Operator, and suspend accounts where fraud or abuse is suspected pending investigation. Program Administrator shall implement commercially reasonable anti-fraud measures and shall cooperate in recovery of fraudulently obtained rewards.

PAYMENT TERMS

All payments are exclusive of applicable taxes. Program Administrator is responsible for invoicing; Program Operator will remit undisputed amounts within the timeframe set forth in the Payment Schedule. Disputed amounts shall be resolved in good faith and undisputed portions paid in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified above following written notice. Termination for cause is in addition to any injunctive or other equitable relief available to the non-breaching party.

CONFIDENTIALITY

Each party shall keep confidential all non-public information obtained from the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information includes customer lists, points ledgers, redemption histories, pricing, and program rules.

The receiving party shall not disclose Confidential Information except to its employees, agents, auditors, or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential Information does not include information that is (a) publicly known through no fault of the receiving party, (b) rightfully received from a third party without breach of obligation, or (c) independently developed without use of the disclosing party's Confidential Information.

DATA PROTECTION; MARKETING; PRIVACY

Program Administrator will process customer personal data only on the documented instructions of Program Operator and in compliance with applicable data protection laws. Program Administrator shall implement appropriate technical and organizational measures to protect personal data. Program Administrator will not use Program Operator's customer data for its own marketing unless Program Operator provides prior written consent.

Marketing Opt-In Required:

AUDIT RIGHTS

Program Operator shall have the right, during normal business hours and upon reasonable notice, to audit Program Administrator's records relating to the Program to verify compliance. Any audit that reveals material noncompliance shall entitle Program Operator to recover reasonable audit costs and any amounts due as a result of such noncompliance.

LIMITATION OF LIABILITY; INDEMNIFICATION

Except for willful misconduct or gross negligence, neither party shall be liable to the other for indirect, incidental, consequential, special, or punitive damages. Each party shall indemnify and hold the other harmless from third-party claims arising out of its breach of this Agreement, negligence, or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attached schedules or program rules incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

MISCELLANEOUS PROVISIONS

Subcontracting: Program Administrator may engage subcontractors provided that it remains responsible for the subcontractor's performance and compliance with this Agreement. Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger or sale of substantially all assets.
