WHEREAS

WHEREAS, Customer Name: (the "Customer") is the current or registered subscriber of the telephone numbers listed below; and

WHEREAS, New Service Provider: (the "Recipient") and the Customer desire to effect transfer (port) of the Customer's telephone numbers from the Current Service Provider (Donor) to the Recipient pursuant to the terms set forth herein; and

WHEREAS, the parties intend that this form serve as both an authorization to the Donor to release account and routing information and as an agreement governing porting services between the Customer and the Recipient.

AUTHORIZATION AND CERTIFICATIONS

The Customer hereby authorizes the Donor to release any and all account, billing, routing, and other information necessary to facilitate the number porting described herein. Customer authorizes the Recipient to act as the Customer's designated agent for purposes of submitting porting requests and obtaining such information from the Donor.

The Customer certifies that the information provided on this form is true and correct, that the Customer is authorized to request porting for the listed numbers, and that the Customer accepts responsibility for any charges or penalties arising from early termination or other contractual obligations with the Donor unless otherwise agreed in writing.

TERM AND TERMINATION

Termination for Convenience: Either party may terminate this agreement upon days' written notice to the other party. Termination shall not relieve Customer of payment obligations for completed work or for costs reasonably incurred by Recipient in reliance on scheduled porting activities.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any non-public business, technical, or customer information obtained in connection with this porting action, except to the extent that disclosure is required by law, regulation, or to effectuate the porting process. Confidential information shall be used only for the purpose of performing obligations under this form.

GOVERNING LAW

This agreement and any dispute arising out of the porting process shall be governed by the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This form constitutes the entire agreement between the Customer and the Recipient with respect to the porting services described herein and supersedes all prior or contemporaneous oral or written communications and proposals relating to the subject matter. Any amendment must be in a signed writing executed by both parties.

ADDITIONAL CERTIFICATIONS

Customer acknowledges that porting may result in temporary service interruption. Customer is responsible for confirming customer-premises equipment compatibility with the Recipient. Customer further acknowledges that any tax identification numbers or account information provided are accurate and authorizes verification where necessary.
