WHEREAS

WHEREAS, Company has established a customer rebate program to provide specified monetary rebates to qualifying customers who meet conditions set forth herein; and

WHEREAS, Customer has purchased or will purchase the Products or Services identified in this letter and desires to receive a rebate in accordance with the terms and conditions set forth in this Customer Rebate Letter (the "Agreement");

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

Late Payment Fee: If Company fails to remit a valid rebate payment within the payment window set forth above, Company shall pay an additional late fee of of the overdue rebate amount for each thirty (30) day period of delay, to the extent permitted by law.

TERM AND TERMINATION

This Agreement shall commence on and shall terminate on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Termination shall not relieve either party of obligations accrued prior to the effective date of termination, including obligations to verify, process, or pay rebates already earned.

CONFIDENTIALITY

Each party acknowledges that information disclosed in connection with this Agreement, including customer account data, purchase history, rebate calculations, and payment details, may constitute Confidential Information. Each party agrees not to disclose Confidential Information to any third party except as required by law or with the prior written consent of the disclosing party. Confidential Information shall not include information that is or becomes generally available to the public through no fault of the receiving party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Company maintains its principal place of business, without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Customer Rebate Letter constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, and agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.
