CUSTOMER REBATES FORM AND AGREEMENT

RECITALS

WHEREAS, Rebate Provider: offers certain promotional rebates to customers who satisfy specified purchase and documentation requirements; and

WHEREAS, Customer Name: seeks reimbursement under the Rebate Provider's rebate program by submitting this completed form and supporting documentation; and

WHEREAS, the parties desire to record the terms and conditions under which any rebate payment will be validated and paid.

PAYMENT TERMS

Payment Schedule: Validated rebate payments will be made within days from the date the claim is validated. Late payments shall accrue interest at a rate of on the unpaid balance, subject to applicable law.

Either party may terminate this agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Termination of the program does not relieve the Provider of obligations to process and pay validated claims for purchases made and claims submitted prior to the effective termination date, subject to program rules.

ELIGIBILITY, AUDIT AND FRAUD

Customer certifies that the information provided is true and that the claimed purchase complies with the program's eligibility requirements. Provider reserves the right to audit any claim, request additional documentation, and deny or recover rebates where fraud, misrepresentation or noncompliance is discovered. Any recovered amounts may be offset against future payments.

CONFIDENTIALITY

Each party agrees to maintain confidential any nonpublic business information disclosed in connection with a rebate claim, including customer financial information and verification records, and to use such information solely for purposes of administering and validating rebate claims. Confidential information does not include information that is or becomes public through no fault of the receiving party or that is required to be disclosed by applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. Venue for any dispute shall be in the state or federal courts located in that jurisdiction.

ENTIRE AGREEMENT

This document, together with any program-specific terms expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior or contemporaneous oral or written agreements, representations, or understandings. Any amendment must be in writing and signed by authorized representatives of both parties.
