CUSTOMER REDEMPTION DOCUMENTS

This Customer Redemption Agreement (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Customer is the lawful holder of certain customer account balances, credits, or redeemable instruments described as follows: (the Instruments); and

WHEREAS, Issuer operates the redemption program and is willing to accept redemption of the Instruments from Customer subject to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the redemption, transfer, and payment associated with the Instruments.

SCOPE OF REDEMPTION

Late Payment: Any amount not paid when due shall bear interest at the lesser of (a) % per month, or (b) the maximum rate permitted by applicable law. Customer shall also bear reasonable collection costs and attorneys' fees incurred by Issuer in enforcing payment.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for a period of days after written notice. Termination shall not relieve either party of obligations accrued prior to termination, including payment and indemnity obligations.

CONFIDENTIALITY

Each party shall hold confidential and not disclose to any third party any non-public information disclosed by the other party in connection with this Agreement, except as required by law or to the receiving party's legal or financial advisors under confidentiality obligations. Confidential information does not include information that is (i) already known to the receiving party without obligation of confidentiality; (ii) becomes public through no fault of the receiving party; or (iii) independently developed by the receiving party without use of or reference to the disclosing party's confidential information.

REPRESENTATIONS AND WARRANTIES

Customer represents and warrants that it has full authority to present the Instruments for redemption, that the Instruments are free of liens and encumbrances (except as disclosed in writing), and that no third-party consent or court order prevents transfer or redemption. Issuer represents and warrants that it has authority to perform under this Agreement and that acceptance of a redemption will not violate any law or agreement binding on Issuer.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, agents and employees from and against any losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of any breach of that party's representations, warranties or obligations under this Agreement, except to the extent such losses are caused by the indemnitee's own gross negligence or willful misconduct.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by certified mail, courier, or delivered in person to the addresses specified below or to such other address as either party may designate by notice in accordance with this section.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. Exclusive jurisdiction and venue for any dispute arising under or in connection with this Agreement shall be the state or federal courts located in that State.

ENTIRE AGREEMENT

This Agreement, together with any schedules or written attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, understandings, or arrangements between the parties regarding redemption of the Instruments. Any amendment or modification to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that Issuer may assign to an affiliate or successor without Customer's consent provided that such assignee assumes Issuer's obligations hereunder in writing.
