Invoices are due as stated on each invoice. Overdue amounts shall accrue the Late Payment Charge above and Customer shall be responsible for reasonable collection costs and attorneys' fees incurred by Provider in enforcing payment obligations.

Term and Termination

This registration and any resulting services shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this section.

Confidentiality

Each party acknowledges that it may receive Confidential Information from the other party. "Confidential Information" includes non-public business, technical and financial information disclosed in connection with this registration. Each party shall (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information, (b) use Confidential Information solely to perform its obligations under this registration, and (c) not disclose Confidential Information to third parties except to employees, contractors, or advisors who need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Confidentiality obligations shall survive termination for a period of three (3) years, except for trade secrets which shall be kept confidential for as long as they remain trade secrets under applicable law.

Governing Law

This registration and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the State or jurisdiction specified by Provider: without regard to conflict of law principles.

Entire Agreement

This registration, together with any attachments, scopes of work, and written amendments signed by both parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any modification must be in writing and executed by authorized representatives of both parties.
