This Customer Return Policy (the Policy) is entered into by and between Merchant Name: and Customer Name: .

WHEREAS

WHEREAS, Merchant operates a retail business that sells goods to consumers and desires to set forth the terms, conditions, and procedures governing returns, refunds, and exchanges of goods sold to Customer pursuant to purchase transactions;

WHEREAS, Customer desires clear notice of the eligibility criteria, timing, and financial consequences of returning goods and agrees to comply with the procedures described herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows.

SCOPE OF WORK

This Policy applies to all tangible goods sold by Merchant to Customer for resale or personal use where the point of sale occurred on or after the Effective Date. It governs return eligibility, inspection, refund calculation, exchange processing, and any charges associated with returns.

RETURN ELIGIBILITY AND CONDITION

Eligibility Period: Customer may request a return within calendar days from the date of delivery of the goods.

Returned items must be received in materially the same condition as delivered, including original packaging, labels, and any tags. Merchant reserves the right to refuse returns that exhibit damage beyond normal inspection or evidence of use inconsistent with normal handling.

PAYMENT AND REFUND TERMS

Refundable Amount: Refunds will be issued for the purchase price of returned goods less any applicable restocking fees, shipping charges, or other authorized deductions.

Shipping Costs: Customer is responsible for outbound shipping charges unless the return is due to Merchant error or a defective product. Return shipping may be deducted from the refund if prepaid by Merchant.

INSPECTION, PROCESSING, AND LATE FEES

Late Fee for untimely returns or failure to ship a return within required timeframe: Merchant may assess a late processing charge of if return conditions are not met or the return is delayed beyond the eligibility period.

TERM AND TERMINATION

Effective Date: This Policy is effective on . It shall continue in effect until , unless earlier terminated as provided below.

Either party may terminate this Policy upon written notice to the other party delivered at least days prior to the intended termination date. Termination does not relieve either party of obligations accrued prior to termination, including processing of returns already submitted.

CONFIDENTIALITY

Each party shall keep confidential any non-public business information exchanged in connection with return requests and disputed transactions, including Customer payment information and Merchant inspection reports. Confidential information shall not be disclosed except as required by law or as necessary to process returns. This obligation survives termination of the Policy for a period of two years.

LIMITATION OF LIABILITY

Merchant's liability for any claim arising from a return or refund shall be limited to the purchase price actually paid by Customer for the returned goods. In no event will Merchant be liable for incidental, consequential, or punitive damages arising out of returns, exchanges, or refunds.

GOVERNING LAW

This Policy shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. Any dispute arising under this Policy shall be resolved in the courts located within that state.

ENTIRE AGREEMENT

This Policy, together with any written attachments or schedules incorporated herein, constitutes the entire agreement between Merchant and Customer with respect to returns and refunds and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
