CUSTOMER SATISFACTION NOTICE

This Customer Satisfaction Notice and Service Agreement ("Agreement") is entered into by the parties identified below for the purpose of documenting service delivery, confirming customer satisfaction obligations, and setting payment and confidentiality terms.

RECITALS

WHEREAS, Customer Name: (the "Customer") has engaged Provider Name: (the "Provider") to provide services described below; and

WHEREAS, the Provider desires to provide and the Customer desires to accept the services under the terms set forth in this Agreement and to establish a formal notice regarding customer satisfaction and remedy procedures.

WHEREAS, this Notice shall serve as both a service confirmation and the Customer's written acknowledgement of satisfaction procedures required to trigger final payment or dispute resolution.

PARTIES AND CONTACT INFORMATION

SCOPE OF WORK

The Provider shall perform the services and deliverables described below. The scope, deliverables, milestones and acceptance criteria are set forth by the parties and may only be amended in writing and signed by both parties.

CUSTOMER SATISFACTION & NOTICE

Upon completion of the services described above, the Provider shall submit written notice of completion to the Customer. The Customer shall have an inspection and acceptance period of days from receipt of that notice to provide written acceptance or detailed notice of deficiencies. Failure to provide timely written notice of deficiencies shall constitute Customer acceptance for purposes of final payment and release of retainage.

PAYMENT TERMS

The Customer agrees to pay the Provider as follows. Fees are non-refundable except as expressly stated in this Agreement.

Late Payment: Any undisputed amount not paid when due shall incur a late fee of and interest thereafter at the maximum lawful rate. Customer shall be responsible for collection costs, including reasonable attorneys' fees, for amounts not timely paid.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach that remains uncured for days following written notice specifying the breach. Termination does not relieve the Customer of payment obligations for services performed through the effective date of termination.

CONFIDENTIALITY

Each party agrees to hold in confidence all non-public information disclosed by the other party that is identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that is publicly known through no wrongful act of the receiving party or is independently developed by the receiving party without use of the other party's Confidential Information.

The receiving party shall take commercially reasonable measures to protect Confidential Information and shall only use such information to perform its obligations under this Agreement. Upon termination or written request, the receiving party shall return or destroy Confidential Information, except as required to be retained by applicable law or for bona fide archival purposes.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties agree that any dispute arising under this Agreement shall be resolved in competent state or federal courts located in the foregoing state, subject to the parties' rights to seek injunctive relief where appropriate.

ENTIRE AGREEMENT

This Agreement, together with any attachments or documents incorporated by reference and any mutually executed modifications, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior oral or written agreements, proposals, and communications between the parties concerning that subject matter. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

CERTIFICATION AND ACKNOWLEDGMENT

By signing below, each signatory certifies that they are authorized to bind the party for whom they sign, that the information provided in this Notice is true and accurate to the best of their knowledge, and that acceptance of this Notice and any related invoices constitutes agreement to the terms set forth herein.
