WHEREAS

WHEREAS, Provider has performed the services or delivered the goods described in the Project Reference above in accordance with the scope and specifications agreed between Customer and Provider; and

WHEREAS, Customer has conducted an inspection of the delivered goods and services and desires to confirm acceptance and satisfaction, to document any exceptions, and to establish the effect of such acceptance on final payment and release of claims.

WHEREAS, the parties intend that this Customer Satisfaction Statement constitute a binding acknowledgement of completion and certain contractual consequences described herein.

By signing below, Customer certifies that the services and/or goods described above have been completed and delivered to Customer's reasonable satisfaction, except for any items specifically noted as exceptions in the "Exceptions and Observations" field below. Customer further acknowledges that final payment obligations and releases described in this Statement take effect upon execution hereof.

Confidential information does not include information that is or becomes publicly available other than by breach of this obligation, or information already lawfully in the receiving party's possession prior to disclosure.

Customer acknowledges that certain technical, financial, and business information provided by Provider may be proprietary. Customer agrees to use confidential information solely for purposes of evaluating or administering the services covered by this Statement.

WARRANTY, REMEDIES, AND RELEASE

Provider warrants that, for a period of days from the Completion Date, the delivered services and goods will materially conform to the Scope of Work. This limited warranty does not cover defects resulting from misuse, modification, or normal wear and tear.

Upon Customer's execution of this Statement indicating acceptance, and subject to any exceptions noted above, Customer releases Provider from further claims, demands, or causes of action arising from the completed work except for latent defects or breaches of the limited warranty expressly stated herein.

GOVERNING LAW

This Statement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Customer Satisfaction Statement, together with any documents incorporated by reference and the underlying agreement between Customer and Provider, constitutes the entire agreement between the parties with respect to the matters set forth herein and supersedes all prior or contemporaneous oral or written agreements. Any amendment must be in writing and signed by both parties.
