The Provider shall perform the services described below in a competent and professional manner consistent with industry standards. The parties agree the specific duties, milestones and deliverables are as set forth in the space below and, where applicable, in attachment(s) incorporated by reference.

Payment Terms

Applicant shall pay Provider for the services in accordance with the terms below. All fees are payable in U.S. dollars unless otherwise agreed in writing.

Term and Termination

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this Section, will continue until the End Date or completion of the services.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period set forth above. Termination does not relieve Applicant of obligation to pay for services performed prior to termination.

Confidentiality

Each party acknowledges that in the performance of this Agreement it may obtain access to Confidential Information of the other party. "Confidential Information" means non-public business, technical or financial information disclosed in any form. Each party shall (i) only use Confidential Information to perform obligations under this Agreement, (ii) limit access to such Confidential Information to personnel who have a need to know, and (iii) not disclose such Confidential Information to third parties without prior written consent, except as required by law.

Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years from the date of disclosure unless a longer period is required by applicable law.

Governing Law and Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in that state, and the parties hereby submit to the exclusive jurisdiction of such courts.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior proposals, negotiations, and communications, whether oral or written. No amendment shall be effective unless in writing and signed by both parties.

Representations, Acknowledgments and Consent

Applicant represents that all information provided in this application is true and complete to the best of Applicant's knowledge. Applicant authorizes Provider to rely on the information provided for purposes of performing services and billing. Applicant consents to receive invoices and notices electronically at the email address provided unless otherwise notified in writing.

Miscellaneous Provisions

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
