Confidentiality

Each party shall maintain the confidentiality of the other party's Confidential Information. "Confidential Information" means non-public information disclosed in connection with this Agreement, whether oral, written or electronic, that is marked confidential or that a reasonable person would understand to be confidential. Confidential Information does not include information that: (a) is or becomes publicly available other than through a breach of this Agreement; (b) was known to the receiving party prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the disclosing party’s Confidential Information.

The receiving party shall use Confidential Information only to perform its obligations under this Agreement and shall not disclose it except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. Confidentiality obligations survive termination for a period of years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict-of-law principles. Any disputes arising under or in connection with this Agreement shall be resolved in the courts located in that State unless the parties agree otherwise in writing.

Entire Agreement
