Confidentiality

Each party will keep confidential all non-public information disclosed by the other party in connection with the services, including proprietary processes, pricing, technical data, and business information ("Confidential Information"). Confidential Information does not include information that (i) is or becomes publicly available without breach; (ii) was rightfully in the receiving party's possession prior to disclosure; or (iii) is required to be disclosed by law, provided that the disclosing party is given prompt notice to seek protection. The receiving party will use at least the same degree of care to protect Confidential Information as it uses to protect its own similar information, but in no event less than reasonable care.
