This Customer Support Request ("Request") is submitted by and between the following parties:

WHEREAS, the parties wish to set forth the specific Request, the scope of support to be provided, applicable fees, and the terms governing performance and confidentiality in connection with this Request.

NOW, THEREFORE, Client and Support Provider agree as follows with respect to this Customer Support Request.

Payment Terms

Client shall pay Support Provider fees as set forth below. Fees for the services described in the Scope of Work are payable in accordance with the agreed schedule. Client acknowledges that certain support work may be billable at rates set forth in this Request.

If Client fails to make timely payment, Support Provider may suspend services until all undisputed amounts are paid in full. Client shall be responsible for reasonable collection costs and attorneys' fees incurred to collect overdue amounts.

Term and Termination

This Request commences on the Start Date and continues until the End Date or until the services described herein are completed, unless earlier terminated in accordance with this section.

Either party may terminate this Request for material breach by the other party if the breach is not cured within the notice period specified above. Termination shall not relieve Client of the obligation to pay fees accrued through the effective date of termination.

Confidentiality

Each party shall treat as confidential all non-public information disclosed by the other party in connection with this Request. Confidential information shall not be disclosed to third parties except as required by law, and shall be used solely for the purposes of performing under this Request. This obligation survives termination for a period of three (3) years, except with respect to trade secrets, which shall be protected for so long as they remain trade secrets.

Governing Law

This Request shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Exclusive venue for disputes arising out of this Request shall be the state or federal courts located within that state.

Entire Agreement

This Request, together with any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No modification shall be binding unless executed in writing by authorized representatives of both parties.

Acknowledgment and Authorization

By completing and signing this Request, Client authorizes Support Provider to proceed with the services described herein and acknowledges responsibility for payment of fees in accordance with the Payment Terms. Client further represents that the individual signing on behalf of Client has the authority to bind Client to the terms of this Request.
