DATA LICENSE AGREEMENT

This Data License Agreement (the Agreement) is entered into as of Effective Date: , by and between Licensor Name: , a business organized as Corporation LLC Individual Other with principal place of business at , and Licensee Name: , a business organized as Corporation LLC Individual Other with principal place of business at . Licensor and Licensee are each a Party and together the Parties.

RECITALS

WHEREAS, Licensor has compiled, owns or controls certain datasets and related materials described herein (the Data) that have commercial and/or research value; and

WHEREAS, Licensee desires to obtain, and Licensor is willing to grant, a limited license to use the Data for the purposes set forth in this Agreement, subject to the terms, conditions, and restrictions herein; and

WHEREAS, the Parties intend by this Agreement to define the scope, delivery, permitted uses, restrictions, fees, confidentiality obligations and other rights and remedies relating to the Data.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. Definitions

1.1 "Data" means the datasets, records, metadata, and supporting documentation described in Section 2 and in Exhibit A, if any, that Licensor supplies to Licensee under this Agreement.

1.2 "Licensed Use" means the specific permitted uses identified in Section 3 and as set forth by Licensee in the Permitted Uses field below.

1.3 "Term" means the period beginning on the Effective Date and continuing for the Term Length specified in Section 11 unless earlier terminated in accordance with this Agreement.

2. Data Description and Delivery

2.1 Description. The Data to be licensed consists of the following description:

2.2 Delivery and Format. Licensor shall deliver the Data by the Delivery Method specified below in the Format specified below. Any timelines for delivery are estimates and Licensor shall notify Licensee of material delay.

3. Grant of License

3.1 License. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable, revocable (as set forth in Section 11), limited license to use the Data solely for the Licensed Use and within the Territory specified below. All rights not expressly granted are reserved by Licensor.

3.2 Sublicensing and Assignment. Licensee shall not sublicense, transfer or assign the rights granted under this Agreement without the prior written consent of Licensor. Any attempt to sublicense, transfer, or assign in violation of this Section is void.

4. Restrictions

4.1 Licensee shall not: (a) use the Data for any purpose other than the Licensed Use; (b) sell, lease, sublicense, distribute or otherwise make the Data available to third parties except as expressly permitted herein; (c) de-identify, re-identify or attempt to re-identify any individual or entity reflected in the Data; or (d) reverse engineer, disassemble or otherwise attempt to discover the source data or methods used to compile the Data.

5. Fees and Payment

5.1 Fees. In consideration for the rights granted hereunder, Licensee shall pay Licensor the Fees set forth below in accordance with the Payment Terms. Unless otherwise stated, fees are due within the number of days specified in Payment Terms following invoice.

6. Intellectual Property

6.1 Ownership. Licensor (or its licensors) retains all right, title and interest, including all intellectual property rights, in and to the Data and any copies thereof. Except for the limited license expressly granted in this Agreement, no rights are granted to Licensee, by implication, estoppel or otherwise.

6.2 Derivative Works. Any Derivative Works created by Licensee using the Data shall be owned as follows: The foregoing does not affect Licensor's ownership of the underlying Data.

7. Confidentiality and Data Protection

7.1 Confidentiality. Each Party shall protect Confidential Information of the other Party using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information includes the Data and any non-public business information.

7.2 Compliance with Law. Licensee shall comply with all applicable laws and regulations relating to data protection, privacy and export control in its use of the Data. Licensee shall implement and maintain appropriate technical and organizational measures to protect the Data against unauthorized access, disclosure, alteration or destruction.

8. Warranties; Disclaimers

8.1 Licensor Warranties. Licensor represents that it has the right to license the Data as set forth in this Agreement. Licensor warrants that to the best of its knowledge the Data does not infringe any third party intellectual property rights as of the Effective Date.

8.2 Disclaimer. EXCEPT FOR THE LIMITED WARRANTY EXPRESSLY SET FORTH IN SECTION 8.1, THE DATA IS PROVIDED "AS IS" AND LICENSOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Indemnification

9.1 Licensee Indemnity. Licensee shall indemnify, defend and hold harmless Licensor and its officers, directors and agents from and against any third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Licensee's breach of this Agreement, its use of the Data beyond the scope of the license granted herein, or Licensee's negligent or willful misconduct.

9.2 Licensor Indemnity. Licensor shall indemnify, defend and hold harmless Licensee from any third-party claim that the Data, as provided by Licensor, infringes the intellectual property rights of such third party, provided that Licensee (a) promptly notifies Licensor in writing of the claim, (b) gives Licensor sole control of the defense and settlement of the claim, and (c) cooperates reasonably with Licensor.

10. Limitation of Liability

10.1 Exclusion. NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF BUSINESS OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Cap. EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR BREACH OF CONFIDENTIALITY OR INDEMNITY OBLIGATIONS, THE AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY LICENSEE TO LICENSOR UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Term and Termination

11.1 Term. The Term of this Agreement shall be from the Effective Date, unless earlier terminated as provided herein.

11.2 Termination for Cause. Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure such breach within thirty (30) days after receipt of written notice specifying the nature of the breach.

11.3 Effect of Termination. Upon expiration or termination of this Agreement, Licensee shall cease all use of the Data and, at Licensor's election, return or securely destroy all copies of the Data and certify such destruction in writing. Sections concerning Confidentiality, Indemnification, Intellectual Property, Limitation of Liability and any other provision that by its nature survives termination shall continue in effect.

12. Audit Rights

12.1 Audit. Licensor may, upon reasonable prior notice and during normal business hours, audit Licensee's records and facilities to verify compliance with the terms of this Agreement. Any audits shall be conducted in a manner designed to minimize disruption to Licensee's business. If an audit reveals material noncompliance, Licensee shall promptly cure such noncompliance and reimburse Licensor for the reasonable costs of the audit.

13. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by certified mail, courier, or other nationally recognized delivery service, or emailed to the address noted with confirmation of receipt.

14. Assignment

14.1 Neither Party may assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent of the other Party, except that either Party may assign this Agreement without consent in connection with a merger, acquisition or sale of substantially all of its assets, provided the assignee assumes the assigning Party's obligations under this Agreement.

15. Amendments; Waiver; Counterparts

15.1 This Agreement may be amended or modified only by a writing signed by authorized representatives of both Parties. No waiver of any provision shall be effective unless in writing and signed by the waiving Party. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

16. Governing Law; Venue

16.1 This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for any dispute arising under this Agreement.

17. Entire Agreement; Severability; Headings

17.1 Entire Agreement. This Agreement, together with any exhibits and attachments referenced herein, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, written or oral.

17.2 Severability. If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and the Parties shall negotiate in good faith a valid substitute provision that most nearly effects the Parties' intent.

17.3 Headings. Headings are for convenience only and shall not affect the interpretation of this Agreement.
