Dataset License Agreement

This Dataset License Agreement ("Agreement") is made effective as of by and between Licensor: with principal place of business at , and Licensee: with principal place of business at .

Recitals

WHEREAS, Licensor has collected, curated and owns or controls a dataset described as: (the "Dataset"); and

WHEREAS, Licensee desires to obtain, and Licensor is willing to grant, a license to use the Dataset on the terms and conditions set forth herein; and

WHEREAS, the parties intend that access to and use of the Dataset be subject to protection of confidentiality, intellectual property and applicable laws governing data processing and export controls.

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

1. Definitions

1.1 "Dataset" means the data, metadata, schema, documentation and associated materials delivered or made available by Licensor to Licensee as described in Exhibit A and any updates thereto. Exhibit A summary:

1.2 "Permitted Uses" means the uses expressly authorized in Section 2. Licensee must not use the Dataset for any purpose beyond the Permitted Uses without prior written authorization from Licensor.

2. License Grant

2.1 Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a Non-Exclusive Exclusive license to use the Dataset for the following territory: and for the following purposes: .

2.2 Sublicensing: Sublicenses permitted Sublicenses prohibited. If sublicenses are permitted, Licensee remains fully responsible for compliance by its sublicensees.

3. Delivery, Format and Updates

3.1 Delivery: Licensor will deliver the Dataset in the format described as: by the delivery method agreed between the parties.

3.2 Updates: Licensor will provide updates, if any, subject to additional fees set forth in Section 4.

5. Term and Termination

5.1 Term: This Agreement commences on the Effective Date and continues for a term of unless earlier terminated in accordance with this Section.

5.2 Termination for Cause: Either party may terminate this Agreement upon written notice if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of notice specifying the breach.

5.3 Effect of Termination: Upon termination or expiration, Licensee will cease all use of the Dataset as required by Licensor, destroy or return copies as directed and certify compliance within thirty (30) days.

6. Use Restrictions

6.1 Licensee shall not, without Licensor's prior written consent: (a) reverse engineer, decompile, disassemble or otherwise attempt to derive the source or methods underlying the Dataset; (b) resell, distribute or publish the Dataset except as expressly permitted in this Agreement; (c) remove or alter any proprietary notices or attributions; or (d) use the Dataset in a manner that violates applicable law or third-party rights.

7. Confidentiality and Data Protection

7.1 Confidential Information: The Dataset and associated documentation shall be treated as Confidential Information. Each party will protect Confidential Information of the other with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

7.2 Data Protection: Where the Dataset contains personal data, the parties will comply with applicable data protection laws. The party processing personal data on behalf of the other will implement appropriate technical and organizational measures to protect such personal data.

8. Representations and Warranties

8.1 Licensor represents and warrants that: (a) it has the full right, power and authority to grant the rights granted herein; and (b) to the best of its knowledge the Dataset does not knowingly infringe the intellectual property rights of any third party. EXCEPT AS EXPRESSLY STATED IN THIS SECTION, THE DATASET IS PROVIDED "AS IS" WITHOUT OTHER WARRANTIES.

8.2 Licensee represents that it will use the Dataset only in accordance with this Agreement and applicable law.

9. Indemnification

9.1 Licensor Indemnity: Licensor will indemnify and hold harmless Licensee from and against any third-party claim arising from Licensor's breach of its representations in Section 8.1, provided Licensee gives prompt written notice and cooperates in the defense.

9.2 Licensee Indemnity: Licensee will indemnify and hold harmless Licensor from any claim arising out of Licensee's use of the Dataset in violation of this Agreement.

10. Limitation of Liability

10.1 EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF ITS INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. IN ALL EVENTS, A PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY LICENSEE TO LICENSOR UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Audit Rights

11.1 Licensor may, upon reasonable prior written notice and during regular business hours, audit Licensee's use of the Dataset to verify compliance. Any such audit shall be conducted in a manner that minimizes disruption. If audit reveals material noncompliance, Licensee will reimburse Licensor for the reasonable cost of the audit and cure the noncompliance promptly.

12. Intellectual Property

12.1 All intellectual property rights in the Dataset and any derivative works created by Licensor remain the exclusive property of Licensor except as expressly granted in this Agreement. Licensee acquires no ownership rights in the Dataset.

13. Notices

13.1 Notices must be in writing and are effective on delivery when sent to the address specified above or to any other address a party designates in writing.

14. Amendments; Waiver; Severability; Counterparts

14.1 This Agreement may be amended or modified only by a written instrument executed by authorized representatives of both parties. No failure or delay by either party in exercising any right constitutes a waiver unless in writing.

14.2 If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect and the invalid provision shall be reformed to the minimum extent necessary to make it valid and enforceable.

14.3 This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered electronically or by facsimile shall be binding.

15. Governing Law; Entire Agreement

15.1 Governing Law: This Agreement will be governed by and construed in accordance with the laws of the jurisdiction selected by the parties: , without regard to conflict of law principles.
