What a Date Change Amendment Is

Date Change Amendment is a concise written amendment to an existing contract that modifies one or more date-related provisions, such as the effective date, term expiration, payment due dates, delivery milestones, or notice windows. It identifies the original agreement, states the exact original date, specifies the revised date or schedule, explains the reason for the change, and confirms that all other terms remain unchanged. When executed by authorized signatories, the amendment becomes part of the agreement; notarization or witness requirements depend on subject matter and jurisdiction, and ESIGN/UETA generally permit electronic execution.

Why Use a Date Change Amendment

Use a Date Change Amendment to document agreed shifts to deadlines or terms without redrafting the entire contract. It provides clear notice of the new dates, preserves the original agreement's integrity, reduces disputes, and creates an auditable record when signed by authorized parties.

Why Use a Date Change Amendment

Who Typically Prepares and Signs These Amendments

Typical users include contract managers, legal counsel, project managers, and counterparties needing to adjust effective dates, payment schedules, or performance timelines.

  • In-house counsel: review authority and document signing delegations before execution.
  • Project managers: update milestones and notify impacted stakeholders of revised schedules promptly.
  • Suppliers and vendors: accept amended delivery or payment dates to avoid service interruptions.

Properly executed amendments reduce litigation risk and maintain continuity of obligations across contractual relationships and records.

Core Elements to Include in a Professional Amendment

A professional Date Change Amendment should be clear, narrowly tailored to the dates amended, reference the original agreement, and include execution, witness/notary details, and storage instructions.

Agreement ID

Cite the original agreement title, execution date, and parties by full legal names, and reference specific sections or clause numbers so the amendment ties unambiguously to the correct contractual provisions.

Amendment Clause

Quote the original language being changed, then present substituted language, using bracketed strike/replace formatting or clear 'is hereby amended to read' phrasing to avoid ambiguity about the change.

Revised Dates

Specify each revised date with MM/DD/YYYY format, and if a timeframe is extended, note any impact on payment schedules, deliverables, penalties, or deadlines tied to those dates.

Ratification

Include a sentence confirming that all other provisions remain in full force, and that the amendment is incorporated into and governed by the original agreement's governing law clause.

Signature Block

Provide space for printed name, title, signature, date, and corporate capacity for each signatory; attach or reference board resolutions or authorization documents when signing on behalf of an entity.

Notary & Record

If required, include a notary block compatible with state acknowledgment forms and provide instructions for recordation, including county recorder name and any necessary indexing references.

Step-by-Step: Prepare and Execute an Amendment

Follow these steps to prepare, approve, and execute a Date Change Amendment so it amends the original contract cleanly and clearly.

  • 01
Identify Clause: Locate the clause or dates to change in the original agreement.
  • 02
Draft Amendment: State original language and substituted date language precisely.
  • 03
Obtain Approvals: Secure signatory authority and internal approvals before signing.
  • 04
Execute & Distribute: Have all parties sign and circulate executed copies to stakeholders.

How to Configure an Online Amendment Workflow

Configure the online amendment workflow to collect signatures, capture dates, and store an audit trail that links the amendment to the original document.

Field Configuration
Signer Order Set signing sequence; allow parallel signatures when appropriate.
Authentication Require email plus SMS code or KBA for higher assurance.
Field Validation Use date format MM/DD/YYYY and required field flags.
Storage & Audit Auto-save PDF, attach audit trail and link to original contract.

Where to Send and File the Executed Amendment

These steps summarize where to send and how to file the executed amendment, including storage, counterparty delivery, and recording when applicable.

  • Send to Parties: Email signed copies to all contract parties.
  • Record Keeping: Store final PDF and audit trail in contract repository.
  • File with County: If amendment affects deed, record with county recorder.
  • Notify Stakeholders: Alert affected teams and vendors to the new dates.

Technical and Security Considerations for eSubmission

Choose a platform that supports audit trails, common file formats, and required authentication levels for the amendment.

  • File Types: PDF, DOCX, and image formats supported.
  • Integrations: Salesforce, NetSuite, Microsoft 365, Google Workspace.
  • Security: TLS in transit; AES-256 at rest.

Timing and Deadline Items to Track

Key timing considerations include notification timing, signature deadlines, recording windows for real property changes, and internal approval lead time.

Deliver to counterparty:

Provide amendment at least as early as original notice period.

Signature window:

Specify deadline for signatures to bind all parties.

Recording deadline (real property):

Record within county timeframe to preserve priority where required.

Internal approval lead time:

Allow sufficient review time; typical 3–5 business days.

Effect vs Execution:

State whether effective upon last signature or on a future date.

Use this milestone sequence to track approval, execution, recordation, and distribution for the Date Change Amendment lifecycle.

Required Information Fields at a Glance

Parties: Enter full legal names exactly.
Original Agreement: Provide title, date, and clause cross-reference.
Original Effective Date: Enter original date in MM/DD/YYYY format.
New Effective Date: Enter the new date in MM/DD/YYYY format.
Reason: Concise explanation for the change.

Common Preparation Mistakes to Avoid

  • Leaving vague language, such as 'within a reasonable time', creates ambiguity about deadlines and can invite litigation over intent and performance expectations.
  • Failing to reference the exact clause or page in the original agreement can result in parties interpreting which provision was intended to be amended differently.
  • Not verifying signatory authority leads to signatures from unauthorized representatives that may render the amendment unenforceable.
  • Omitting time zone or effective time can create conflicts for deadlines tied to a date, especially in cross-state or cross-border arrangements.

Risks and Potential Consequences of Errors

Unenforceability: Ambiguous amendment may be void.
Tax Consequences: Altering payment dates affects tax reporting.
Missed Deadlines: Late amendment can forfeit rights.
Invalid Signatures: Unauthorized signer can invalidate amendment.
Recording Lapse: Unrecorded real property changes lose priority.
Breach Claims: Conflicting dates may trigger disputes.

Real-World Examples of Date Change Amendments

These examples illustrate use of online amendments to change dates in leases, contracts, and operational agreements across different organizations.

  • "I can process and execute all of these documents online with 100% compliance and built-in security. Whether on mobile or working offline, I can get forms back to their necessary parties efficiently."

Dan Rotelli — BIS

BIS used online amendments to align contract milestones with revised project timelines across multiple vendors and to centralize executed records for compliance reviews.
