SCOPE OF WORK

The Applicant will act as an independent dealer responsible for promotion, sale, and limited installation of Company products within the approved territory. The specific responsibilities, service levels, and marketing obligations are described below and may be expanded by written agreement between the parties.

PAYMENT TERMS

Applicant requests credit in the amount of . Payment shall be made in accordance with the schedule below:

Net payment due within days from invoice date. Late payments will incur a late fee of % per month on the unpaid balance, or the maximum lawful rate if lower. Applicant agrees to pay all reasonable collection costs and attorney fees incurred by Company to collect delinquent amounts.

Applicant expressly authorizes Company to obtain credit reports and other information necessary to evaluate creditworthiness and agrees that Company may share credit experiences with trade references.

TERM AND TERMINATION

CONFIDENTIALITY

Applicant acknowledges that certain information supplied by Company and identified as confidential, as well as pricing, product specifications, customer lists, and marketing plans, constitute confidential business information and trade secrets. Applicant agrees not to disclose or use such confidential information except for the performance of authorized dealer activities. This obligation survives termination for a period of three (3) years.

GOVERNING LAW

This Application and any resulting dealer appointment shall be governed by the laws of the State of , without regard to principles of conflict of laws. Exclusive venue for disputes shall lie in the state or federal courts located within that state.

ENTIRE AGREEMENT

This Application, together with any subsequently executed Dealer Agreement and exhibits, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, and agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
