DEALER BUSINESS SETUP AGREEMENT

RECITALS

WHEREAS, Dealer seeks the establishment, structuring and onboarding of a dealer business operation including licensing, inventory sourcing, point-of-sale configuration, and dealer process documentation; and

WHEREAS, Provider has the expertise and resources to perform business setup, operational configuration, and advisory services necessary to establish the Dealer's operations in accordance with applicable laws and commercial standards; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

SCOPE OF WORK

Completion of each milestone shall be certified in writing by Dealer and Provider. Delivery dates set forth in the milestones are target dates; Provider shall notify Dealer promptly of any anticipated delay and propose a revised date.

PAYMENT TERMS

Total Fee: (USD).

Deposit: due upon execution of this Agreement.

Invoicing: Provider shall submit invoices in accordance with the payment schedule. Payment is due within days of invoice date. Payments shall be made by the method agreed in writing by the parties.

Late Fee: Any undisputed amount not paid when due shall accrue interest at the lesser of per month or the maximum rate permitted by law, plus reasonable collection costs.

Termination Date or Event: This Agreement shall continue until unless earlier terminated under the provisions below or by mutual written agreement.

Either party may terminate for convenience upon days' prior written notice. Either party may terminate immediately for material breach which remains uncured for thirty (30) days following written notice of such breach.

Upon termination, Provider shall deliver to Dealer all work in progress and Dealer shall pay Provider for all work performed to the date of termination in proportion to the agreed fee schedule.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public, proprietary, or business information disclosed by one party to the other, whether oral, written or electronic, including but not limited to business plans, supplier lists, pricing, customer data, technical specifications, and financial information.

Obligation: Each party shall hold Confidential Information in strict confidence, shall not disclose it to third parties except as required by law or with prior written consent, and shall use such Confidential Information solely for performance of this Agreement. The receiving party shall exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Exclusions: Confidential Information does not include information that is or becomes generally available to the public through no fault of the receiving party, was in the receiving party's possession prior to disclosure, was rightfully received from a third party without restriction, or is independently developed by the receiving party without reference to the disclosing party's Confidential Information.

Duration of Confidentiality: The obligations in this section shall survive termination of this Agreement for a period of years, or for so long as the information remains confidential under applicable law, whichever is longer.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold the other harmless from and against any third party claims arising from the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR LOST PROFITS, CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles. Venue for any dispute arising under this Agreement shall be the state or federal courts located in that state.

ENTIRE AGREEMENT; AMENDMENTS

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. Any amendment or modification to this Agreement must be made in writing and signed by duly authorized representatives of both parties.
