DEBT SETTLEMENT AGREEMENT

This Debt Settlement Agreement ("Agreement") is made and entered into as of by and between Creditor: with mailing address , and Debtor: with mailing address .

RECITALS

WHEREAS, Debtor is indebted to Creditor under one or more accounts identified as Account Ending , arising from (the "Debt"); and

WHEREAS, the parties desire to compromise and settle the Debt on the terms set forth herein in order to avoid the delay, expense and uncertainty of litigation and collection efforts; and

WHEREAS, Creditor is willing to accept a lesser amount in full satisfaction of the Debt conditioned upon the timely performance by Debtor of the obligations set forth in this Agreement.

NOW, THEREFORE

In consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. SETTLEMENT AMOUNT

Creditor agrees to accept a total settlement amount of $ (the "Settlement Amount") in full and final satisfaction of the Debt, subject to the terms of this Agreement.

2. PAYMENT TERMS

All payments shall be made by cashier's check, wire transfer, or other mutually agreed method to the payee designated by Creditor. Payments received after 5:00 p.m. on the due date shall be deemed received on the next business day.

3. CONSIDERATION; RELEASE

Upon receipt by Creditor of the full Settlement Amount in cleared funds in accordance with this Agreement, Creditor shall execute and deliver to Debtor a written release, extinguishing the Debt and releasing Debtor from any further obligation with respect to the Debt covered by this Agreement. Creditor's obligation to deliver such release is conditioned upon full and timely performance by Debtor.

4. DEFAULT

If Debtor fails to make any payment when due and such failure continues for a period of ten (10) days after written notice from Creditor, Creditor may, at its option, declare this Agreement breached and pursue any and all remedies available at law or in equity, including resumption of collection of the full outstanding balance of the Debt. Any election by Creditor to reinstate the full Debt shall be without prejudice to Creditor's right to recover costs and reasonable attorneys' fees incurred in enforcing this Agreement, to the extent permitted by law.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has full power and authority to enter into and perform this Agreement; (b) this Agreement has been duly authorized and constitutes a valid and binding obligation enforceable in accordance with its terms; and (c) the execution and performance of this Agreement will not violate any other agreement or legal obligation of such party.

6. TAX TREATMENT

Debtor acknowledges that cancellation or forgiveness of indebtedness may have tax consequences. Debtor shall be solely responsible for reporting any taxable income resulting from the settlement and for any tax liability thereon. Creditor makes no representation regarding tax consequences and disclaims any such liability.

7. CONFIDENTIALITY

Except as required by law, the parties agree to keep the terms of this Agreement confidential and shall not disclose its terms to any third party without the prior written consent of the other party; provided, however, that either party may disclose this Agreement to its legal or financial advisors on a confidential basis.

8. NOTICES

All notices, demands or communications required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three (3) business days after being mailed by certified mail, return receipt requested, to the addresses set forth below or to such other address as either party may specify in writing in accordance with this Section.

9. AMENDMENTS; WAIVER

This Agreement may be amended, modified, or supplemented only by a written instrument signed by both parties. No failure or delay by any party in exercising any right shall operate as a waiver thereof, and no single or partial exercise of any right shall preclude any other or further exercise of that right.

10. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be binding as originals.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

12. ENTIRE AGREEMENT

This Agreement, together with any written releases or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

13. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable under applicable law, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if incapable of modification, shall be severed, and the remaining provisions shall remain in full force and effect.

14. COSTS AND ATTORNEYS' FEES

In the event of a dispute arising out of or relating to this Agreement, the prevailing party shall be entitled to recover its reasonable costs and attorneys' fees from the non-prevailing party to the extent permitted by applicable law.
