8. AUTHORIZATION TO OBTAIN INFORMATION

Debtor authorizes Creditor and its authorized agents to obtain consumer, commercial, employment, banking, credit and other records and reports necessary to verify the information provided and to investigate Debtor's financial condition. This authorization includes, without limitation, the right to obtain credit reports, tax returns, bank statements and public record searches.

Debtor acknowledges that copies of records obtained pursuant to this authorization shall be treated as Confidential Information subject to the confidentiality provisions set forth below, except as required by law or court order.

9. CONFIDENTIALITY

Creditor shall use Confidential Information solely for the purposes of evaluating Debtor's obligations and taking appropriate actions with respect to collection, restructuring, or enforcement. Confidential Information shall not be disclosed to third parties except to attorneys, auditors, contractors engaged to assist Creditor, or as required by law, provided that recipients are bound by confidentiality obligations no less protective than those herein.

10. REMEDIES

In the event of a material misrepresentation or deliberate omission by Debtor, Creditor shall be entitled to exercise any and all remedies available at law or in equity, including seeking compensatory damages, specific performance, and injunctive relief. Debtor shall be liable for reasonable costs and attorneys' fees incurred by Creditor in enforcing its rights under this Questionnaire.

All notices required or permitted under this Questionnaire shall be in writing and delivered to the addresses set forth below (or to such other address as a party may specify by notice):

This Questionnaire shall be governed by and construed in accordance with the laws of the jurisdiction specified by Creditor in Notice Address for Creditor unless otherwise agreed in writing. The parties consent to the exclusive jurisdiction and venue of the federal and state courts located in that jurisdiction for any action arising out of this Questionnaire.

13. ENTIRE AGREEMENT

This Questionnaire constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, representations and understandings, whether written or oral, relating to the information requested herein.

14. SEVERABILITY

If any provision of this Questionnaire is held unenforceable or invalid, such holding shall not affect the validity of the remaining provisions, which shall remain in full force and effect to the fullest extent permitted by law.

15. AMENDMENTS; WAIVER; COUNTERPARTS

This Questionnaire may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right will constitute a waiver of that right. This Questionnaire may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
