What a Decorating Services Agreement Covers

A Decorating Services Agreement is a written contract that defines the scope, schedule, materials, payment, and responsibilities for interior decorating or cosmetic property improvements. It sets expectations about deliverables, change orders, insurance, warranties, termination rights, and dispute resolution. The agreement clarifies who supplies materials, timing for milestones and final completion, payment schedule and retainage, and how defects or delays will be handled. Properly drafted, it reduces misunderstandings, provides a record for permitting or lender review when needed, and creates clear signing and acceptance criteria for all parties.

Why use a formal Decorating Services Agreement

A clear written agreement protects both client and decorator by documenting scope, budget, timeline, and remedies for nonperformance. It reduces disputes, supports licensing or insurance checks, and provides proof of consent for electronic signing under U.S. e-signature law.

Why use a formal Decorating Services Agreement

Typical parties who complete this agreement

These agreements are used by independent decorators, interior design firms, residential clients, and property managers when work involves furnishings, finishes, or installation.

  • Independent decorator or design consultant contracting to deliver specified services and materials within a fixed budget and timeline.
  • Homeowner or residential client seeking written scope, payment schedule, and warranty terms for decorative work and purchases.
  • Property manager or landlord who coordinates decorating across units and needs assignment, billing, and acceptance terms.

Knowing the typical users helps tailor terms for licensing, insurance requirements, lien rights, and consumer protections specific to the relationship.

Core sections to include in the agreement

Include clear, standalone clauses so the contract performs if challenged: scope, schedule, payment, change orders, insurance, and remedies.

Scope of Work

Describe tasks, materials, finishes, and any exclusions. Reference exhibits or specification sheets to avoid ambiguity and set acceptance criteria.

Schedule

State the effective date, start date, milestone dates, and completion date. Include allowances for delays and procedures for extensions.

Payment Terms

Specify total price, deposit, milestone payments, retainage, accepted payment methods, and consequences of late payment or nonpayment.

Change Orders

Require written change orders with price and schedule adjustments. Define who can authorize changes to prevent unauthorized work.

Insurance & Liability

Require proof of insurance, limits of liability, and responsibility for property damage, subcontractors, and third-party claims during performance.

Termination & Remedies

Detail termination for convenience or breach, cure periods, refund or retention rules, and dispute resolution method, such as mediation or arbitration.

  • No written change order process, allowing unauthorized work and later disagreements about cost and timeline.
  • Failing to confirm contractor licensing or insurance before work begins, increasing exposure to liability and recovery risks.
