DEFENSIVE DRIVER AGREEMENT

This Defensive Driver Agreement (the Agreement) is made and entered into as of by and between Company Name: (hereinafter Employer) and Driver Name: (hereinafter Driver). Employer and Driver are each a Party and together the Parties.

RECITALS

WHEREAS, Employer maintains vehicle operations in the course of its business and requires that individuals who operate motor vehicles on behalf of Employer comply with safe driving practices and applicable laws; and

WHEREAS, Driver is an employee, contractor, or agent authorized to operate motor vehicles for Employer and possesses an interest in maintaining driving privileges and the ability to perform duties that involve vehicle operation; and

WHEREAS, the Parties desire to set forth in writing the obligations, training requirements, reporting procedures, and consequences relating to safe driving and defensive driver training.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows:

1. DEFINITIONS

1.1 "Authorized Operation" means operation of a vehicle on behalf of Employer for duties expressly assigned by Employer.

1.2 "Defensive Driving Course" means a safety training program approved by Employer designed to reduce the risk of collisions through hazard recognition and risk avoidance techniques.

2. DRIVER CERTIFICATIONS AND OBLIGATIONS

2.1 Driver represents and warrants that Driver currently holds a valid motor vehicle operator's license appropriate for the class of vehicle to be operated and will maintain such licensure throughout the Term of this Agreement.

2.2 While operating any vehicle in Authorized Operation, Driver shall at all times comply with federal, state, and local traffic laws, Employer's vehicle policies, and industry-standard safe driving practices, including but not limited to: use of seat belts, obeying posted speed limits, refraining from handheld mobile device use except through hands-free technology, and abstaining from operation while under the influence of alcohol, illegal drugs, or any substance that would impair safe operation.

2.3 Driver shall immediately notify Employer of any change in license status, any moving violation conviction, license suspension or revocation, or any motor vehicle collision in which Driver is involved while performing Authorized Operation. Such notice must be provided no later than after the event.

3. TRAINING AND COURSE COMPLETION

3.1 Within days of the Effective Date, Driver shall enroll in and complete a Defensive Driving Course approved by Employer. Employer may, in its discretion, require periodic refresher training.

3.2 Employer shall reimburse require Driver to pay for course fees as outlined in Employer policy. Any reimbursement is subject to Employer's documentation and expense procedures.

4. RECORDS, BACKGROUND AND MVR AUTHORIZATION

4.1 Driver authorizes Employer to obtain and review Driver's motor vehicle record (MVR) and to conduct background checks and drug/alcohol testing where permitted by law. Driver acknowledges that Employer may use such information to determine eligibility to operate Employer vehicles.

5. REPORTING PROCEDURES AND INCIDENT HANDLING

5.1 Driver shall immediately secure the scene to the extent safe and practicable, notify emergency services if required by law, gather available witness and vehicle information, and submit an initial written incident report to Employer within the timeframe set forth in Section 2.3.

5.2 Employer may require Driver to submit to drug and alcohol testing and vehicle inspection following any incident. Refusal to submit to testing or inspection when requested constitutes a material breach of this Agreement.

6. INSURANCE, LIABILITY AND INDEMNIFICATION

6.1 Employer shall maintain commercial automobile insurance for Employer vehicles as required by law. Driver acknowledges that coverage for personal vehicles used for Employer business (if permitted) is subject to Driver's personal insurance primary status and Employer's insurance secondary, subject to policy terms.

6.2 Driver agrees to indemnify and hold Employer harmless from and against any losses, liabilities, claims, or expenses resulting from Driver's gross negligence, willful misconduct, or intentional violation of law while operating a vehicle in Authorized Operation, except to the extent caused by Employer's gross negligence.

7. DISCIPLINARY ACTION; SUSPENSION; TERMINATION

7.1 A single serious violation or a pattern of moving violations, at-fault collisions, or failure to comply with training or reporting requirements may result in disciplinary action up to and including suspension of driving privileges, reassignment, or termination of employment or contractor status.

7.2 Employer retains the discretion to determine remedial measures, which may include additional training, probationary driving status, or temporary reassignment pending review.

8. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by hand, recognized courier, or certified mail to the addresses below and shall be effective upon receipt.

9. AMENDMENT; WAIVER; COUNTERPARTS

9.1 No amendment or modification of this Agreement shall be effective unless in writing and signed by both Parties. Waiver of any breach shall not constitute a waiver of any other breach.

9.2 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

10.1 This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Employer maintains its principal place of business, without regard to conflict of law principles.

10.2 This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior oral or written agreements concerning the same.

10.3 If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. MISCELLANEOUS PROVISIONS

11.1 Remedies provided by this Agreement are cumulative and in addition to any remedies available at law or in equity.

11.2 Driver acknowledges receipt of Employer's written vehicle safety policies and agrees to comply with those policies as they may be amended from time to time.
