Scope of Work

Carrier shall collect, transport and deliver the shipment described above in accordance with the schedule herein and the terms of this Agreement. Carrier shall provide all labor, equipment, documentation and standard customs processing required to effect carriage and delivery, subject to declared value and any insurance purchased. Carrier shall use commercially reasonable efforts to meet pickup and delivery times but does not guarantee arrival at a specified time unless expressly agreed in writing and additional fees paid.

Payment Terms

Client shall pay Carrier the amounts specified below for services rendered. Unless otherwise stated, all amounts are stated in United States Dollars and are due in accordance with the schedule set forth in this section.

Late Payment: Client shall pay interest on any overdue amount at a rate of compounded monthly, together with any costs of collection, including reasonable attorneys' fees.

Term and Termination

This Agreement commences on and, unless earlier terminated, shall continue until .

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after written notice. Either party may terminate immediately for insolvency, fraud, or willful misconduct.

Confidentiality

"Confidential Information" means non-public business, technical and financial information disclosed by one party to the other in connection with this Agreement, including pricing, customer lists, shipment manifests and customs documentation. Each party shall: (a) keep Confidential Information in strict confidence; (b) use such information solely for performance under this Agreement; and (c) disclose such information only to employees and subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as contained herein.

Confidentiality obligations do not apply to information that: (i) is or becomes publicly available through no breach of this Agreement; (ii) is lawfully received from a third party without restriction; or (iii) is independently developed by the receiving party. Remedies for breach include injunctive relief in addition to any other available remedies, and confidentiality obligations survive termination for a period of three (3) years.

Liability and Insurance

Carrier's liability for loss or damage to cargo is limited to the declared value stated above unless higher value and insurance were procured and paid for by Client in writing prior to carriage. In no event shall Carrier be liable for indirect, incidental, consequential or punitive damages, except in the case of Carrier's willful misconduct or gross negligence. Client shall indemnify and hold Carrier harmless from claims arising from contents that are illegal, restricted or not accurately declared.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of laws principles. The parties consent to the exclusive jurisdiction of the courts located in the chosen jurisdiction for the resolution of disputes.

Entire Agreement

This Agreement, including any attached shipment manifests or written addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings, negotiations and agreements, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.
