WHEREAS, the parties intend for this document to govern the delivery, use, condition, and return or purchase of the listed equipment.

Scope of Work / Use

The equipment listed above is delivered to Recipient for the following permitted uses and restrictions. Recipient shall use the equipment only for authorized delivery operations and handle all equipment in accordance with Provider's safety and maintenance procedures.

Payment Terms

Recipient shall pay Provider the consideration described below for delivery, handling, maintenance, or purchase of the equipment. All amounts are stated in U.S. dollars unless otherwise indicated.

Failure to pay when due constitutes a material breach. Provider may suspend delivery or repossess equipment without waiving other rights. Recipient is liable for reasonable costs of collection, including attorneys' fees.

Term and Termination

This Agreement commences on and, unless terminated earlier in accordance with this section, continues until .

Either party may terminate for material breach if the breaching party fails to cure within the notice period. Provider may immediately terminate and repossess equipment upon nonpayment or material safety violation by Recipient.

Confidentiality

Each party shall maintain in confidence any non-public business, technical or operational information disclosed in connection with this Agreement, including maintenance records and pricing. Confidential information shall not be disclosed except to employees or contractors with a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. This obligation survives termination for a period of three years.

Risk, Title, and Insurance

Unless otherwise stated, title to the equipment remains with Provider. Risk of loss or damage transfers to Recipient on delivery and Recipient shall maintain insurance covering all listed equipment for its full replacement value and liability arising from its use. Recipient shall provide certificates of insurance upon request.

Governing Law and Dispute Resolution

This Agreement is governed by the laws of the state of without regard to conflicts of law principles. The parties agree that disputes will be resolved by binding arbitration if mutually agreed; otherwise, courts of the selected state shall have jurisdiction.

Indemnity and Limitation of Liability

Recipient shall indemnify and hold Provider harmless from claims arising from Recipient's use or misuse of the equipment, except to the extent caused by Provider's gross negligence or willful misconduct. Except for liability for bodily injury or infringement, neither party's aggregate liability shall exceed the total fees paid under this Agreement for the equipment described herein.

Entire Agreement

This document, together with any attachments and confirmed inventory, constitutes the entire agreement between the parties concerning the delivery and use of the equipment and supersedes prior proposals, representations, or agreements, whether written or oral. Modifications must be in writing and signed by authorized representatives of both parties.
