What a Delivery Package Agreement Covers

A Delivery Package Agreement is a contract between a sender and a carrier or delivery provider that sets terms for transporting, handling, and delivering goods or parcels. It documents responsibilities, shipment descriptions, delivery windows, risk allocation during transit, insurance requirements, delivery confirmation, and remedies for loss or damage. The agreement typically covers pickup instructions, packaging standards, special handling, and recipient authorization. It may also address third-party services, customs clearance for international shipments, and fee structures, and it serves as the operational and legal record for resolving disputes and processing claims.

Why a Clear Agreement Matters for Shipments

A Delivery Package Agreement clarifies responsibilities, reduces dispute risk, and establishes claims and insurance procedures. It protects senders, carriers, and recipients by setting clear service levels, liability limits, and acceptance criteria, improving operational reliability and reducing administrative friction.

Why a Clear Agreement Matters for Shipments

Who Completes and Relies on This Agreement

Logistics managers, carrier operations, shippers, warehouse supervisors, and consignee representatives use the Delivery Package Agreement to define responsibilities and prevent disputes.

  • Logistics managers — prepare and review shipment terms, insurance, and handling instructions.
  • Carriers — confirm acceptance, liability limits, and obtain signatures or electronic delivery confirmations.
  • Consignees — verify deliveries, sign acceptance, and report damage within contractually defined windows.

Accurate completion ensures enforceable terms, faster claims processing, and clearer allocation of costs and risks between parties.

Typical Signatory Roles and Responsibilities

Logistics Manager

Typically responsible for completing shipment details, coordinating carrier selection, and ensuring operational compliance. The logistics manager signs on behalf of the shipper if authorized in writing, and maintains records for claims, carrier instructions, and regulatory audits.

Corporate Counsel

Reviews and approves liability clauses, indemnities, and insurance requirements to align with company risk tolerance. Corporate counsel may negotiate governing law and dispute resolution sections and confirm that signatures, attestations, and execution processes meet legal standards for enforceability.

Core Clauses to Include in the Agreement

Essential clauses in a Delivery Package Agreement include scope of services, liability and insurance, delivery terms, payment and fees, indemnities, and dispute resolution mechanisms.

Scope of Services

Define pickup and delivery locations, accepted items, packaging and handling requirements, delivery windows, and any excluded services. Precise scope prevents misunderstandings about responsibilities and carrier obligations.

Liability & Insurance

Specify carrier liability caps, insurance minimums, and who bears risk at each shipment stage. Include insured values and procedures for filing loss or damage claims to speed resolution.

Delivery Terms

State delivery timing, attempted delivery procedures, proof of delivery requirements, recipient obligations, and conditions for re-delivery or return to sender to avoid ambiguity.

Payment & Fees

List rates, surcharges, payment terms, billing disputes process, and responsibility for customs, duties, or storage fees. Clarify invoicing cycles and late fee application.

Indemnities

Allocate indemnity obligations for loss, damage, or third-party claims. Define limits, exclusions, and insurer subrogation rights to align parties' financial exposure.

Dispute Resolution

Specify governing law, venue, arbitration or court procedures, and notice requirements for claims. Include escalation steps and contact points to expedite resolution.

Step-by-Step: Completing the Delivery Package Agreement

Follow these steps to complete a Delivery Package Agreement accurately and ensure carrier and recipient obligations are clear and enforceable.

Practical Drafting and Execution Tips

Follow clear drafting, consistent naming, version control, and rigorous signature capture practices to reduce disputes and accelerate claims resolution.

Use precise shipment descriptions and values
Describe contents, quantities, weights, dimensions, and declared values in detail. Note hazardous items, special handling, and packaging standards. Precise descriptions accelerate customs clearance and support full recovery in damage or loss claims.
Require documented proof of delivery
Mandate POD that includes recipient name, signature, timestamp, and photographic evidence when possible. For sensitive or high-value shipments, require GPS coordinates and chain-of-custody logs to strengthen evidence in disputes or insurance claims.
Set clear liability and insurance limits
Align declared value with required insurance, define per-shipment and aggregate liability caps, and describe procedures to purchase additional coverage. Clear limits reduce litigation risk and clarify each party’s financial exposure in loss scenarios.
Use robust e-signature authentication methods
Require authentication appropriate to risk: email link for low-risk, SMS or KBA for moderate risk, and multi-factor or SSO for high-value shipments. Capture audit trails that record IP, timestamp, and signer attributes for evidentiary needs.

Common Preparation Mistakes to Avoid

  • Incomplete shipment descriptions that omit hazardous items or declared value frequently delay claims and increase carrier liability disputes.
  • Using ambiguous delivery windows or acceptance criteria leads to disagreements about on-time performance and improper application of late or missed delivery charges.
  • Failing to record electronic proof of delivery — timestamps, GPS, or photos — weakens the party's position during loss or damage dispute resolution.
  • Not updating carrier or consignee details before execution causes misrouting, billing errors, and potential noncompliance with regulatory reporting.

Penalties and Operational Risks from Errors

Insurance Gaps: Claims may be denied.
Misdelivery Liability: Carrier or sender may bear costs.
Customs Penalties: Fines, seizure for incorrect declarations.
Contract Breach: Damages, court costs, injunctive relief.
Regulatory Fines: DOT or local fines possible.
Delayed Claims: Missed reporting windows reduce recovery.
