DELIVERY PARTNER AGREEMENT MOU

This Memorandum of Understanding ("MOU") is entered into as of Effective Date: by and between Delivery Partner: with principal place of business at ; and Company: with principal place of business at .

RECITALS

WHEREAS, Company operates an online ordering and logistics platform and seeks a qualified third-party contractor to perform local delivery services in designated service areas; and

WHEREAS, Delivery Partner represents that it has the necessary personnel, equipment, insurance and authorizations to perform timely and lawful delivery services consistent with the standards set forth herein; and

WHEREAS, the parties desire to set forth the principal terms governing the performance of delivery services on a non-exclusive basis pending execution of a definitive service agreement.

NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Services" means the pickup, handling and last-mile delivery of goods from Company merchants to end customers as further described in Section 2. "Loss" means direct damages, costs or liabilities.

2. APPOINTMENT AND SCOPE OF SERVICES

2.1 Appointment. Company appoints Delivery Partner on a non-exclusive basis to perform Services in the Service Area designated below, and Delivery Partner accepts such appointment subject to the terms of this MOU.

2.3 Delivery Partner shall perform pickups, transport, and deliveries in accordance with the performance standards and operating procedures set by Company. Delivery Partner shall, at a minimum, maintain personnel and vehicles adequate to meet scheduled pickup and delivery commitments and to process orders with reasonable dispatch.

3. TERM

3.1 Term. The term of this MOU shall commence on the Effective Date and continue for an initial period of months, unless earlier terminated pursuant to Section 13. Either party may propose renewal terms in writing no less than days prior to expiration.

4. COMPENSATION AND PAYMENT

4.1 Fees. Company shall pay Delivery Partner for Services in accordance with the fee schedule agreed in writing. Standard commission or rate: % per order, or such flat per-order fee as agreed.

4.2 Taxes and Withholding. Each party shall be responsible for its own taxes, withholdings and contributions required by applicable law. Delivery Partner shall provide Company with valid tax documentation upon request.

5. INDEPENDENT CONTRACTOR; COMPLIANCE

5.1 Independent Contractor. Delivery Partner is an independent contractor and not an agent, employee or joint venturer of Company. Delivery Partner controls the manner and means of performing Services and is solely responsible for payment of wages, benefits and employment taxes for its personnel.

5.2 Compliance. Delivery Partner shall comply with all federal, state and local laws, ordinances and regulations applicable to the performance of Services, including licensing, vehicle registration, traffic laws and labor laws.

6. INSURANCE

Delivery Partner shall maintain and furnish proof of insurance covering commercial general liability, automobile liability and workers' compensation in amounts not less than:

7. CONFIDENTIALITY AND DATA PROTECTION

7.1 Confidential Information. Each party shall keep confidential all proprietary business information disclosed by the other party, including customer data, pricing and operational procedures, and shall not disclose such information except to employees or contractors who have a need to know and are bound by confidentiality obligations.

7.2 Data Protection. Delivery Partner shall implement and maintain reasonable administrative, technical and physical safeguards to protect personal data collected in connection with the Services and shall process such data only as instructed by Company and in accordance with applicable data protection law.

8. INTELLECTUAL PROPERTY

All trademarks, service marks, trade names and other intellectual property provided by Company in connection with the Services shall remain Company property. Delivery Partner shall not use Company's marks except as expressly authorized in writing.

9. INDEMNIFICATION

Delivery Partner shall indemnify, defend and hold harmless Company and its affiliates from and against any third-party claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Delivery Partner's negligence, willful misconduct, breach of this MOU, or violation of applicable law in connection with the Services.

10. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, fraud or breach of Section 7 (Confidentiality), neither party shall be liable to the other for incidental, consequential, punitive or special damages, and each party's aggregate liability shall be limited to the total fees paid or payable to Delivery Partner under this MOU in the twelve (12) months preceding the event giving rise to the claim.

11. TERMINATION

11.1 Either party may terminate this MOU for convenience upon days prior written notice. 11.2 Either party may terminate immediately for material breach if the breaching party fails to cure within days after written notice of breach.

12. NOTICES

All notices required or permitted under this MOU shall be in writing and delivered to the addresses set forth below by hand, nationally recognized overnight courier, or certified mail, return receipt requested, and shall be effective upon receipt.

13. AMENDMENTS, WAIVER, COUNTERPARTS

13.1 Amendment. This MOU may be amended only by a written instrument executed by authorized representatives of both parties. 13.2 Waiver. Failure to enforce any provision shall not constitute a waiver of future enforcement. 13.3 Counterparts. This MOU may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

14.1 Governing Law. This MOU shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

14.2 Entire Agreement. This MOU, including any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, representations and understandings.

14.3 Severability. If any provision of this MOU is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. MISCELLANEOUS PROVISIONS

15.1 Subcontracting. Delivery Partner shall not subcontract material portions of the Services without Company's prior written consent. 15.2 Assignment. Neither party may assign this MOU without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets.
