SCOPE OF WORK

The Carrier shall perform pickup, transportation, and delivery services for the goods described above in accordance with applicable industry practices and the explicit handling instructions recorded on this Ticket. Loading, securing and unloading responsibilities shall be as specified herein.

PAYMENT TERMS

Payment is due in accordance with the schedule below. Carrier's charges for services, accessorials, detention, or additional services will be invoiced and are payable by the party identified in the invoice.

Late Payment Fee:   Recovery of Costs: Carrier may recover collection costs, reasonable attorneys' fees and court costs for overdue balances.

TERM AND TERMINATION

This Pickup Ticket is effective as of Pickup Date recorded above and remains in force until delivery is completed and payment is received, unless earlier terminated pursuant to the notice provisions below.

Termination Notice: Either party may terminate obligations under this Ticket for material breach upon written notice delivered to the other party, with a cure period of days, except that termination shall not relieve the party of obligations already accrued.

CONFIDENTIALITY

Each party shall keep confidential all non-public business information obtained in connection with this Pickup Ticket and shall not disclose such information except to affiliates, subcontractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. Confidential information shall not include information that is or becomes publicly available through no breach by the receiving party or is independently developed without use of the disclosing party's confidential information.

GOVERNING LAW; ENTIRE AGREEMENT

This Pickup Ticket shall be governed by the laws of the jurisdiction specified below without regard to its conflicts of law principles. Parties consent to the exclusive jurisdiction of the courts located in the selected jurisdiction for resolution of disputes.

Entire Agreement: This Pickup Ticket, including the recitals and any referenced written instructions on the face hereof, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, negotiations and agreements, whether written or oral. No modification shall be binding unless executed in writing by an authorized representative of each party.
