DELIVERY SERVICE AGREEMENT

RECITALS

WHEREAS, Client Name: desires transportation and delivery services for certain goods and shipments; and

WHEREAS, Service Provider Name: represents that it is duly licensed, insured, and qualified to perform such delivery services in accordance with the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

SCOPE OF WORK

Service Provider shall perform pickup, transport, and delivery services for shipments described below in accordance with the performance standards, schedules, and instructions set by Client. Service Provider shall provide personnel, vehicles, equipment and supervision necessary to perform the services, and shall comply with all applicable laws, regulations and industry standards.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in consideration for the services. All fees are payable in lawful currency of the jurisdiction specified in Governing Law and are exclusive of applicable taxes unless otherwise stated.

Late Payment: Unpaid amounts shall accrue interest at per month (or the maximum permitted by law), and Client shall reimburse Service Provider for reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for cause if the other party materially breaches any obligation under this Agreement and fails to cure within days of written notice.

CONFIDENTIALITY

Each party acknowledges that, in the performance of this Agreement, it may be exposed to Confidential Information of the other party. "Confidential Information" means non-public information disclosed in written, electronic, or oral form. The receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees and agents who have a need to know and are bound to confidentiality obligations no less protective than this clause; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential Information does not include information that is or becomes generally known to the public other than through a breach of this Agreement, is independently developed, or is required to be disclosed by law (provided prompt notice is given where legally permitted).

INSURANCE & LIABILITY

Service Provider shall maintain insurance coverage appropriate to the services performed, including commercial auto liability, cargo insurance, and workers' compensation as required by law. Upon request, Service Provider shall provide certificates of insurance evidencing coverage. Except for loss or damage caused by willful misconduct or gross negligence, liability of either party for direct damages shall be limited to the greater of the amounts paid under this Agreement for the affected shipment or the limits required by applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including all schedules, statements of work and written amendments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings of the parties, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notices shall be deemed given upon personal delivery, confirmed electronic transmission, or three (3) days after deposit with a nationally recognized overnight courier.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or successor in interest.
