What the Delivery Services Delivery Partner Agreement Is

A Delivery Services Delivery Partner Agreement is a contract between a delivery platform or company and an independent delivery partner (contractor) that sets out the scope of delivery services, compensation, performance standards, insurance and indemnity obligations, equipment and vehicle requirements, confidentiality, and the term and termination rights. The agreement allocates operational risk, clarifies tax and reporting expectations, and typically includes data handling and service levels. Where executed electronically for interstate transactions, the agreement is valid under the ESIGN Act and state UETA frameworks when the parties satisfy intent, consent, attribution, and retention requirements.

Why a Clear Agreement Matters for Delivery Partnerships

A clear Delivery Services Delivery Partner Agreement reduces disputes, ensures regulatory compliance, and documents insurance and tax responsibilities. It protects the company and the partner by defining payments, territories, performance metrics, and procedures for incidents, audits, and termination.

Scope of Services

Specify rates, mileage reimbursement, surge pay, payment schedule, invoicing requirements, and any deductions; clarify net terms and dispute resolution for withheld or contested payments.

Insurance & Liability

Require minimum automobile and cargo insurance limits, name the company as additional insured where appropriate, and describe proof submission frequency and consequences for lapse.

Performance Standards

Include delivery time windows, on-time metrics, cancellation and no-show policies, customer service obligations, and remedies for repeated failures or service-level breaches.

Classification & Taxes

State whether the partner is an independent contractor, outline tax reporting (1099) responsibilities, and require accurate taxpayer identification and cooperation for audits.
