What a Delivery Terms Agreement Covers

A Delivery Terms Agreement is a contract that sets the rights and obligations related to delivery of goods or services between seller and buyer. It defines delivery window, shipping method, transfer of title and risk, inspection and acceptance procedures, costs and who pays them, delivery deadlines, remedies for late or non-delivery, and required documentation such as bills of lading or packing lists. The agreement may address partial shipments, force majeure, insurance requirements, and return procedures. Clear delivery terms reduce disputes, allocate risk, and create measurable performance expectations for both parties.

Why Clear Delivery Terms Matter

Well-drafted Delivery Terms Agreements clarify responsibilities for shipping, risk transfer, and costs, reducing disputes and unexpected expenses. They help enforce remedies for late delivery, support insurance claims, and provide objective metrics for performance and contract compliance across commercial transactions.

Why Clear Delivery Terms Matter

Who Typically Uses This Agreement

Typical users include procurement teams, logistics managers, vendors, and legal counsel who negotiate delivery obligations.

  • Procurement teams set delivery SLAs, acceptance criteria, and vendor obligations across purchase contracts.
  • Logistics and operations managers schedule shipments, choose carriers, and confirm receipt and inspection timelines.
  • Legal and compliance draft governing law, remedies, insurance, and liability limits in the agreement.

Core Elements to Include

Core Delivery Terms Agreement elements ensure clarity on shipment, transfer of title and risk, inspection, remedies, costs, and required documentation.

Parties

Inspection

Documentation

List required documents such as bill of lading, packing list, commercial invoice, shipping labels, certificates of origin, and insurance certificates. Specify format and deadlines for document delivery.

Force Majeure

Include force majeure clauses that suspend performance for events beyond control, define notice procedures, and specify excused delays versus obligations to mitigate, including timelines to resume performance.

Liability

Set limits on consequential and direct damages, indemnification obligations, insurance minimums, and caps where appropriate. Clarify responsibility for customs, duties, and tax liabilities during transit.

  • Not including clear inspection procedures and deadlines can allow nonconforming goods to be deemed accepted by silence or inaction.
  • Overlooking required export, customs, and documentation requirements leads to shipment delays, fines, or seizure by authorities in cross-border transactions.

Potential Penalties and Contract Risks

Late Delivery: Liquidated damages or claims
Nonconforming Goods: Rejection, return, and cost recovery
Insurance Gaps: Carrier or cargo uninsured
Customs Penalties: Fines or shipment seizure
Contract Termination: Loss of business or damages

Practical Tips for Reliable Agreements

Adopt these best practices to make Delivery Terms Agreements enforceable, clear, and operationally practical across procurement and logistics workflows.

Use specific Incoterms and delivery points
Specify the applicable Incoterm (e.g., FOB, CIF, DDP) and exact delivery point including dock or door, who handles unloading, and which party bears import duties. Specificity reduces carrier and customs disputes.
Define inspection, sampling, and acceptance procedures
Establish clear inspection deadlines, acceptable sampling methods, and criteria for rejection. Specify whether silent acceptance applies after a period and who pays for testing. Clear rules limit disputes and support efficient claims resolution.
Align insurance and liability limits with shipment values
Require minimum insurance coverages, name the insured parties, and confirm carrier liability per contract. If high-value goods are involved, require cargo insurance and specify policy limits to prevent uninsured losses and allocation disputes during transit.
Include remedy hierarchy and liquidated damages
Provide an ordered list of remedies—repair, replacement, credit, or termination—and set reasonable liquidated damages or caps. Ensure remedies comply with governing law and do not exceed enforceable limits to avoid invalidation in court.
