Lessee shall at its sole cost comply with all laws and regulations regarding the handling, storage, removal and disposal of medical waste, sharps, amalgam, x-ray chemicals, and other regulated substances. Lessee shall maintain contracts for licensed biohazard transport and disposal and shall not permit accumulation of hazardous materials on the Premises.

6. ALTERATIONS; FIXTURES; IMPROVEMENTS

Lessee shall not make structural alterations to the Premises or install plumbing, compressed air systems, vacuum lines, or x-ray equipment without Landlord's prior written consent. All permitted improvements shall be performed by licensed contractors, in compliance with law, and shall become part of the Premises unless otherwise agreed in writing. Removal of equipment shall be permitted only with Landlord consent and Lessee shall repair any damage caused by removal.

7. MAINTENANCE AND REPAIRS

Landlord shall maintain the structural components, roof, exterior walls, and common HVAC serving the building unless otherwise agreed. Lessee shall maintain all interior finishes, dental plumbing, dental vacuum systems, sterilization equipment, and shall promptly notify Landlord of defects affecting common systems. Costs for repairs caused by Lessee's negligence or misuse are Lessee's responsibility.

8. INSURANCE

Lessee shall procure and maintain at its expense commercial general liability insurance, including coverage for bodily injury and property damage with limits not less than per occurrence and professional liability (malpractice) insurance with limits not less than . Landlord shall be named as additional insured on liability policies where applicable.

9. TAXES AND UTILITIES

Lessee shall be responsible for all utilities serving the Premises, including electricity, gas, water, sewer, telephone and data lines. Real property taxes and assessments for the Premises shall be paid by .

10. DEFAULT; REMEDIES

Failure by either party to perform any material covenant or obligation shall constitute an event of default. Non-breaching party may provide written notice specifying the default and a cure period of thirty (30) days, or such shorter period if the default is not curable within thirty (30) days and the breaching party has commenced and diligently pursues cure. Remedies include termination, re-entry, recovery of past due rent, damages, and reasonable attorneys' fees.

11. INDEMNIFICATION

Lessee shall indemnify, defend and hold Landlord harmless from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from Lessee's use of the Premises, performance of work, or breach of this Lease, except to the extent caused by Landlord's gross negligence or willful misconduct.

12. ENVIRONMENTAL REPRESENTATIONS

Lessee represents that to its knowledge no hazardous substances will be brought to, used, stored, or disposed of on the Premises except in compliance with law and in the ordinary course of dental operations. Lessee shall promptly remediate any contamination resulting from its activities and shall be responsible for all costs associated with cleanup and third-party claims.

13. ASSIGNMENT AND SUBLETTING

Lessee shall not assign this Lease or sublet the Premises, in whole or in part, without Landlord's prior written consent, which shall not be unreasonably withheld for proposed assignments or subleases to other dental or allied medical professionals. Any assignment shall not relieve Lessee of liability under this Lease unless Landlord executes a written release.
