Conditions of Reservation

The Prospective Tenant delivers the Holding Deposit to reserve the Property subject to the following material conditions:

1. Lease Execution Deadline: This reservation shall expire if a mutually executed Lease is not delivered by unless extended in writing by Landlord.

2. Application Approval: Acceptance is conditioned upon Landlord's receipt and approval of all tenant screening materials, including credit, criminal, rental history, and income verification. The Holding Deposit does not itself constitute approval.

3. Application and Screening Consent: Prospective Tenant authorizes Landlord or agent to obtain screening reports and certifies that submitted information is true and complete. Tenant acknowledges that false statements are grounds for denial and forfeit of deposit where permitted by law.

4. Application of Holding Deposit: If a Lease is executed, the Holding Deposit will be applied to the security deposit or first month's rent as agreed in the Lease. If no Lease is executed as result of Prospective Tenant's default (including failure to execute Lease, misrepresentations, or failure to timely provide required funds), the Holding Deposit may be retained by Landlord as liquidated damages to the extent permitted by law.

5. Refund Policy: If Landlord rejects the Prospective Tenant for reasons other than matters waived herein or Landlord's failure to perform, the Holding Deposit shall be refunded in full within a commercially reasonable time. Specific refund exceptions:

Default by Prospective Tenant, including failure to execute the Lease or timely pay required amounts, entitles Landlord to retain the Holding Deposit as liquidated damages to compensate for re-letting costs, administrative expenses and lost rental opportunity, to the extent permitted by law. Landlord shall use commercially reasonable efforts to mitigate damages by re-renting the Property.

If Landlord defaults in reserving the Property as provided herein, Tenant's sole remedy shall be return of the Holding Deposit. Neither party shall be liable for consequential damages under this Reservation.

Attorney's Fees: The prevailing party in any action to enforce this Reservation shall be entitled to recover reasonable attorney's fees and costs.

Entire Agreement: This Reservation contains the entire agreement of the parties with respect to reserving the Property and supersedes all prior negotiations and communications. Any modification must be in writing and signed by both parties.
