What the Design Colour Scheme Addendum Is

The Design Colour Scheme Addendum is a short, legally binding attachment to a master agreement that documents approved color palettes, color codes (HEX, RGB, CMYK, and Pantone), permitted uses, reproduction specifications, and ownership or license terms. It clarifies how colors should be applied across media, establishes testing and approval steps for production and digital assets, and records which party is responsible for enforcement and sign-off to reduce disputes over brand consistency.

Why a Colour Addendum Matters

A clear colour addendum reduces ambiguity, ensures consistent brand presentation, and sets enforceable usage limits and reproduction standards that prevent costly rework and brand dilution.

Why a Colour Addendum Matters

Core Elements to Include in the Addendum

Include defined palettes, technical color values, permitted contexts, reproduction tolerances, accessibility checks, and amendment rules to make the addendum actionable and defensible.

Color Palette

Primary and secondary colors listed with HEX, RGB, CMYK, and Pantone values plus usage notes for each.

Technical Codes

Precise color codes and acceptable tolerances for print and digital to avoid mismatches in production.

Usage Limits

Permitted contexts (logo, UI, packaging) and prohibited uses such as third-party rebranding or unauthorized color swaps.

Reproduction Specs

Print process guidance, ink limitations, color matching tolerances, and approved substrates for consistent output.

Accessibility

Contrast targets and alternatives for accessibility compliance, including WCAG considerations for digital uses.

Amendment Process

How to propose, approve, document, and record future palette changes, including notice periods and sign-off steps.

How to Complete and Attach the Addendum

Follow these sequential steps to prepare, review, and finalize the Design Colour Scheme Addendum so it integrates cleanly with the base agreement.

  • 01
Prepare Palette: Assemble final HEX/RGB/CMYK/Pantone values and reference files.
  • 02
Draft Addendum: Populate fields, define uses, set tolerances, and attach production notes.
  • 03
Internal Review: Circulate to design, legal, and procurement for technical and contractual review.
  • 04
Execute and Attach: Have authorized signatories sign, date, and attach the addendum to the master agreement.

Who Typically Prepares and Signs This Addendum

Final approval requires an authorized signatory from each contracting party to make the addendum binding and enforceable.

  • Design agencies and brand teams responsible for specifying and delivering color assets.
  • Client brand managers or marketing leads who control brand standards and approvals.
  • Legal, procurement, or in-house counsel who verify licensing and enforceability.

Who Signs and Why

Client Representative

Chief Marketing Officer or Brand Manager typically signs to confirm acceptance of palette and permitted uses and to authorize downstream production or distribution.

Design Agency

An authorized officer or account lead signs to warrant delivery of specified color assets and to accept any limited license obligations.

Digital Configuration for Online Completion

If you complete the addendum online, configure fields and authentication to match your approval workflow and retention needs.

Field Configuration
Required Fields Mark name, palette table, effective date, and signatures as mandatory.
Authentication Use email, SMS code, or stronger methods for high-assurance signers.
Templates Create a reusable addendum template for future projects to reduce setup time.
File Formats Accept PDF and DOCX for form fidelity and attach source swatches as PNG or ASE files.

Where to Send or File the Executed Addendum

Route executed copies to all parties, attach them to the main agreement, and store approved master files in a secure repository for production reference.

  • Attach to Contract: Append the signed addendum to the base contract for a single contractual record.
  • Distribute Copies: Send signed PDF copies to internal teams and external vendors.
  • Store Securely: Keep a master copy in a document management system or contract repository.
  • Provide to Production: Share approved swatches and tolerance notes with printers and developers.

Digital Signing and File Compatibility

Ensure the platform preserves attachment fidelity and audit trails; select one that supports attachments and produces a tamper-evident signed PDF for production use.

  • File Types: PDF, DOCX supported.
  • Integrations: CRM and cloud storage integrations recommended.
  • Authentication: Email or higher assurance options.

Typical Timing and Deadlines

Common schedule items include review windows, approval deadlines, production handoff, and amendment notice periods; set clear dates to avoid production delays.

Effective Date:

Date when the addendum takes effect; enter as MM/DD/YYYY.

Review Period:

Allow 3–7 business days for technical and legal review by each party.

Approval Deadline:

Set a clear approval cutoff to meet production schedules and avoid rush fees.

Production Handoff:

Coordinate with vendors at least 5–10 business days before print or release.

Amendment Notice:

Provide notice period (commonly 30 days) for proposed palette changes.

Common Preparation Mistakes to Avoid

  • Failing to record precise color codes leads to inconsistent branding across vendors and platforms, causing reprints and extra costs.
  • Using vague usage language like 'brand colors' without examples increases the chance of unauthorized or incorrect colour application.
  • Not attaching source swatches or production notes forces vendors to guess color matches, risking poor color reproduction.
  • Skipping stakeholder review (design, legal, procurement) can leave technical or contractual gaps that delay launch.

Risks and Consequences of a Defective Addendum

Brand Inconsistency: Damaged brand perception and customer confusion.
Production Errors: Costly reprints or delays.
Trademark Misuse: Potential infringement claims or loss of control.
Contract Breach: Remedies may include damages or corrective orders.
Vendor Disputes: Extended negotiations and project delays.
Additional Costs: Rush fees, color correction, and legal expenses.

Real-World Examples of Colour Addendum Use

Two concise cases show how an explicit addendum reduced disputes and sped production in different sectors.

Martin Properties (Real Estate)

A regional property manager standardized signage colors across developments to protect leasing recognition and avoid reprints.

  • The addendum required HEX plus Pantone and a 5-day approval window.
  • “I can process and execute all of these documents online with 100% compliance and built-in security. Whether on mobile or working offline, I can get forms back to their necessary parties efficiently.”

Fertility Centers of Illinois (Healthcare)

A healthcare provider locked patient-facing palette choices to meet accessibility requirements before site redesign.

  • The addendum specified contrast ratios and alternative palettes.
  • “The airSlate SignNow team has been exceptional, responsive, the API has been great, and we're extremely happy that we chose airSlate SignNow as a company.”
