Recitals

WHEREAS, Client Name: seeks professional consultation and design-related services for the project described in this form; and

WHEREAS, Consultant Name: is qualified to provide design consultation, deliverables, and related advisory services under the terms set forth in this Consultation Form and Agreement; and

NOW, THEREFORE, in consideration of the mutual promises herein, the parties agree as follows, effective as of Effective Date:

Late Fee and Interest: If any amount due is not paid within 30 days of invoice, late payment shall incur interest at per month or the maximum allowed by law, and Consultant may suspend work until payment is made.

Either party may terminate this Agreement for convenience upon days' prior written notice. In the event of termination for cause due to material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, Client shall pay Consultant for all services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence all non-public information marked or reasonably understood to be confidential disclosed by the other party (the "Disclosing Party"), including but not limited to design concepts, business plans, client lists, pricing, and technical data ("Confidential Information"). The Receiving Party shall not disclose Confidential Information to third parties and shall use at least reasonable care to protect the Confidential Information. Confidentiality obligations do not apply to information that is (i) already known to the Receiving Party without obligation of confidentiality, (ii) publicly available through no fault of the Receiving Party, (iii) independently developed by the Receiving Party, or (iv) required to be disclosed by law, provided the Disclosing Party receives prompt notice where permitted.

Confidentiality obligations shall survive termination or expiration of this Agreement for a period of three (3) years, except for trade secrets which shall be protected for as long as they qualify as trade secrets under applicable law.

Intellectual Property and Work Product

Unless otherwise agreed in writing, Consultant grants Client a non-exclusive, non-transferable license to use final deliverables for the project purpose described herein upon full payment. Consultant retains ownership of pre-existing materials, methodologies, templates, and intellectual property used to create deliverables. Any transfer of ownership or assignment of copyrights shall be set forth in a separate written instrument and may be subject to additional fees.

Representations; Warranties; Limitation of Liability

Each party represents that it has the authority to enter into this Agreement. Consultant warrants that services will be performed with reasonable skill and care. EXCEPT AS EXPRESSLY SET FORTH, CONSULTANT DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE AMOUNTS PAID TO CONSULTANT BY CLIENT UNDER THIS AGREEMENT.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties agree that disputes shall first be addressed by good faith negotiation. If unresolved, disputes shall be resolved by binding arbitration in the county where Consultant's principal place of business is located, unless otherwise agreed in writing.

Entire Agreement; Amendment

This document, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior oral or written agreements. Any amendment must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Notices required under this Agreement shall be in writing and delivered to the addresses provided in the Parties and Contact Information section. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
