Recitals

WHEREAS, Client Name: desires to obtain updated drawings for the project identified as Project Name: (the "Project");

WHEREAS, Designer Name: has prepared and will deliver updated drawing(s) described herein and incorporated as revisions to the Project drawings; and

WHEREAS, the parties wish to confirm the terms under which the updated drawing(s) are to be delivered, accepted and paid for.

Scope of Work

Designer shall provide updated drawing(s) and related document updates limited to the items described below. The updated drawing(s) shall conform to applicable codes and to the standards of care set forth in this Agreement. Any change beyond the scope described below shall require a written change order signed by both parties.

Payment Terms

Client shall pay Designer the fees for the updated drawing(s) in accordance with the schedule below. All fees are non-refundable except as expressly provided in this Agreement.

All payments shall be made in United States dollars unless otherwise agreed in writing. If Client fails to pay any amount when due, Designer may suspend delivery of further services or drawings after seven (7) days' written notice.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Termination shall not relieve Client of its obligation to pay for services rendered and reimbursable expenses incurred through the effective date of termination.

Confidentiality

Each party shall maintain in strict confidence all Confidential Information of the other party and shall not disclose such information except to employees and consultants who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Confidential Information shall include updated drawing files, technical data, pricing, and other proprietary information disclosed in connection with the Project.

Confidentiality obligations shall not apply to information that is (a) publicly known through no breach by the receiving party, (b) already in the receiving party's lawful possession, (c) independently developed by the receiving party, or (d) required to be disclosed by law, provided the disclosing party is given prompt notice and an opportunity to seek protective measures.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law rules. Venue for any dispute arising out of this Agreement shall be in the state or federal courts located in that state.

Representations; Entire Agreement; Amendments

Each party represents that it has the full right, power and authority to enter into this Agreement. This Agreement, together with any attachments and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, oral or written. No amendment to this Agreement shall be effective unless in writing and signed by both parties.

Acceptance of Updated Drawing

Client shall review the updated drawing(s) within Acceptance Period (days): following delivery and shall either (a) provide written acceptance, or (b) provide written notice of any deficiencies. Failure to provide notice of deficiencies within such period shall constitute acceptance of the updated drawing(s).

Limitation of Liability

To the maximum extent permitted by law, Designer's liability for any claim arising out of or relating to this Agreement shall not exceed the total fees paid to Designer for the specific updated drawing(s) that are the subject of the claim. In no event shall either party be liable for consequential, incidental, special or punitive damages.
