DESIGN PROPOSAL & DRAWINGS

This Design Proposal & Drawings Agreement (the Agreement) is made between Client Name: and Designer Name: (collectively, the Parties) as of the Effective Date set forth below.

PAYMENT TERMS

Late Payment: Payments not received within days of the invoice due date shall incur a late fee of per month on the outstanding balance, compounded monthly, until paid in full.

Additional Services & Expenses: Services beyond the Scope of Work, additional revision rounds, site visits, consultant fees, expedited delivery, printing, and courier charges shall be billed as Additional Services at Designer's standard rates and reimbursable expenses, payable within the same terms as regular invoices.

TERM AND TERMINATION

Term Commencement: This Agreement shall commence on the Effective Date: and shall continue until the Services are completed or until terminated in accordance with this Agreement.

Termination for Convenience: Either Party may terminate this Agreement upon written notice to the other Party delivered at least days prior to termination. In the event of termination, Designer shall be compensated for all work performed up to the effective date of termination, including reasonable termination-related costs and any non‑refundable expenses.

Termination for Cause: Either Party may terminate immediately for material breach that remains uncured for a period of thirty (30) days after written notice of such breach.

CONFIDENTIALITY

Each Party shall maintain as confidential all non-public proprietary information, documents, specifications, drawings, pricing, and other materials disclosed by the other Party and designated as confidential or that a reasonable person would understand to be confidential. Confidential information shall not include information that is or becomes publicly known through no violation of this Agreement, is rightfully received from a third party without restriction, or is independently developed without use of the other Party's confidential information.

The receiving Party shall use confidential information only for the purposes of performing its obligations under this Agreement and shall take reasonable measures to prevent disclosure to third parties. Upon termination or request, confidential materials shall be returned or destroyed, except that Designer may retain archival copies to comply with professional recordkeeping obligations.

INTELLECTUAL PROPERTY & USE OF DRAWINGS

Ownership: Designer retains copyright in all design documents, drawings, and related materials prepared by Designer. Upon full payment of all amounts due, Designer grants Client a non-exclusive, non-transferable license to use the final design documents for the Project as specified in this Agreement. Use of drawings for any other project, revision by others, or use after material changes to the Project without Designer's written consent is prohibited.

Reuse and Modification: If the Client reuses or modifies the Drawings without Designer's involvement, Client shall indemnify Designer against claims, losses, and liabilities arising from such reuse or modification.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any attached exhibits, schedules, and written modifications signed by both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral or written communications, proposals, and understandings. Any amendment or waiver must be in writing and signed by both Parties.
