DESSERT MENU SWEETIE PIES — GENERAL BUSINESS AGREEMENT

This Agreement is executed as of between Client Name: and Provider Name: (each a "Party" and collectively the "Parties").

WHEREAS

WHEREAS, Client operates a retail food service business and desires to procure dessert menu items, recipes, or menu development services from Provider in connection with Client's brand Sweetie Pies; and

WHEREAS, Provider represents that it is qualified, experienced, and willing to prepare, supply, or consult on dessert menu items and related services under the terms set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement, the Parties agree as follows:

SCOPE OF WORK

Provider shall perform the services described below and shall deliver all products, recipes, or menu materials in accordance with the specifications and schedule set forth. Provider shall perform with commercially reasonable skill, care, and in compliance with applicable food safety and health laws.

PAYMENT TERMS

Client shall pay Provider the fees set forth below in exchange for the performance of the Scope of Work. All amounts are stated in U.S. dollars unless otherwise indicated.

TERM AND TERMINATION

The initial term of this Agreement shall commence on and shall terminate on unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure such breach within the notice period specified above. Termination shall not relieve Client of its obligation to pay for services performed and delivered prior to the effective date of termination.

CONFIDENTIALITY

Each Party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other Party. "Confidential Information" means non-public business, technical, recipe, formula, pricing, customer or marketing information disclosed in any form. Each Party agrees to: (a) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information but no less than a reasonable standard of care; (b) not disclose Confidential Information to third parties except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than this Agreement; and (c) use Confidential Information only to perform obligations under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits and attachments expressly incorporated, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and understandings, whether written or oral. No amendment to this Agreement is effective unless made in writing and signed by authorized representatives of both Parties.

MISCELLANEOUS PROVISIONS

The Parties each represent and warrant that they have full power and authority to enter into this Agreement. Neither Party will assign this Agreement without the prior written consent of the other Party, except to a successor by merger or sale of substantially all assets. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
