Dessert Order Form and Services Agreement

WHEREAS, Vendor is engaged in the business of preparing and supplying desserts, pastries and related catering services and holds the necessary licenses, personnel and facilities to perform such services; and

WHEREAS, Client desires to engage Vendor to prepare and supply desserts for the event identified in this Agreement under the terms set forth herein; and

WHEREAS, the parties agree that the order details, payment terms, confidentiality and other provisions set forth below shall govern the provision of services and sale of goods.

Scope of Work

Vendor will prepare, deliver (if selected), set up and provide desserts consistent with the specifications, quantities and schedule described in this Order Form and the Scope of Work below. Vendor will furnish ingredients, labor, and standard serving supplies necessary to serve the desserts unless otherwise agreed in writing.

Payment Terms

Client agrees to pay Vendor the amounts set forth in the Order Details. All amounts are stated in United States dollars. The parties agree the following payment structure governs this transaction:

Deposit: A deposit is required to secure the event date. Deposit amount: $. Deposits are non-refundable except as expressly provided in the Termination section below.

Acceptable payment methods: Credit/Debit Card    Check    Cash. Client shall provide completed payment information prior to delivery or pickup when required.

Late Fee: If any undisputed balance is not received by the Balance Due Date, Vendor shall have the right to assess a late fee of of the outstanding amount per month, or the maximum allowed by law, whichever is less. Client is responsible for any collection costs, including reasonable attorney's fees, for amounts not paid when due.

Term and Termination

This Agreement commences on the Start Date below and terminates upon completion of Vendor's obligations under this Order or on the End Date below, whichever occurs later. Either party may terminate for material breach if the breach is not cured within the notice period set forth below.

Cancellation by Client: If Client cancels the event less than 7 days prior to the Event Date, the deposit shall be retained by Vendor and Client remains responsible for any non-recoverable costs reasonably incurred by Vendor. Vendor may cancel if Client fails to pay required deposit or otherwise violates material terms; in such case Vendor will refund amounts received minus documented costs and a reasonable cancellation administration fee.

Confidentiality

Each party agrees that any proprietary business information, recipes, pricing formulas, customer lists, or other confidential information disclosed by one party to the other in connection with this Agreement shall be held in confidence and shall not be disclosed to third parties without prior written consent, except as required by law. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party.

Liability and Indemnity

Vendor shall maintain commercially reasonable standards of food safety and hygiene. Client shall inform Vendor in writing of known severe allergies or dietary restrictions. Vendor's liability for any claim arising out of this Agreement shall be limited to direct damages not exceeding the total contract price paid by Client; Vendor shall not be liable for incidental, consequential, or punitive damages. Client agrees to indemnify and hold Vendor harmless from any claims arising from Client-supplied items, guest behavior, or failure to disclose allergies.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles. Any dispute arising out of or related to this Agreement shall be brought exclusively in the courts located in that state.

Entire Agreement

This document, together with any attachments signed by the parties, constitutes the entire agreement between Vendor and Client with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. Any amendment to this Agreement must be in writing and signed by both parties.
