By submitting this invoice, Issuer certifies that the services and expenses billed were performed and incurred in accordance with the applicable engagement terms and pre-approvals. Payment is due in full by the Due Date. Overdue balances shall accrue interest at 1.5% per month (18% per annum) or the maximum lawful rate, whichever is lower, calculated from the day after the Due Date until paid. Client shall be responsible for all collection costs, including reasonable attorney fees, incurred to collect any overdue amounts. Any dispute to a portion of this invoice must be submitted in writing within seven (7) calendar days of receipt of invoice; undisputed amounts remain payable in accordance with the Payment Terms.

Cancellation or force majeure: In the event of cancellation by Client without cause within the period specified in the underlying engagement terms, liquidated damages or cancellation fees as stipulated in those terms shall apply. Issuer retains the right to suspend services and withhold deliverables until payment is received in full.

Intellectual property and recordings: Unless otherwise agreed in writing, Issuer retains all rights in recordings and performance materials. Use of Issuer's name, images, or recordings for promotional purposes requires prior written consent or payment as agreed in the engagement terms.
