What a Development Officer Agreement Covers

A Development Officer Agreement is a written contract that defines the relationship between an organization and a development officer responsible for fundraising, donor relations, and development strategy. Typical content includes the officer's duties, performance targets, compensation and commission terms, expenses, confidentiality, conflict-of-interest rules, term and termination provisions, reporting obligations, and any required post-employment restrictions such as non-solicitation. The agreement may also specify compliance requirements for fundraising laws, tax reporting, and record retention. Electronic execution under ESIGN (15 U.S.C. ch. 96) or applicable state UETA rules is generally acceptable for enforceability.

Why having a written Development Officer Agreement matters

A clear written agreement reduces ambiguity about duties, performance metrics, payment timing, and legal obligations. It protects both the organization and the officer by documenting expectations, mitigating disputes, and creating an auditable record for tax and compliance reviews.

Why having a written Development Officer Agreement matters

Who typically completes or signs this agreement

The Development Officer Agreement is used by a range of nonprofit and institutional stakeholders who manage development functions and human-resources oversight.

  • Nonprofit executive directors and CEOs who approve hiring and compensation decisions for fundraising staff.
  • Development officers and fundraisers who accept responsibilities and agree to performance and reporting terms.
  • Board members and HR or legal staff responsible for contract review, compliance, and oversight.

Use the agreement template as a baseline; adapt details to the organization’s policies, state law, and any donor-specific conditions before signature.

Representative signer roles

Development Officer

A professional hired to solicit gifts and manage donor relationships. The officer’s duties, targets, compensation structure (salary, bonus, commission), and confidentiality obligations should be explicitly stated to avoid later disputes over earned commissions or donor stewardship responsibilities.

Organization Representative

An authorized officer of the nonprofit (executive director, board chair, or HR director) who signs on behalf of the organization, confirms budget approvals, and accepts responsibility for withholding, reporting, and compliance with fundraising and employment laws.

Core provisions to include in the Development Officer Agreement

A complete agreement should combine operational detail with legal safeguards so expectations are clear and enforceable.

State base salary, bonus or commission formulas, payment schedule, expense reimbursement process, and any clawback or commission dispute resolution procedures.

Term & Termination

Confidentiality & Conflicts

Include nondisclosure for donor data, conflict-of-interest rules, donor list ownership, and requirements to return or certify destruction of confidential materials.

Common mistakes when preparing a Development Officer Agreement

  • Leaving compensation or commission formulas vague, which can produce disputes over earned commissions and tax reporting obligations.
  • Failing to specify notice and termination procedures, leading to ambiguity about severance, post-termination solicitation, or commission clawbacks.
  • Omitting confidentiality and donor-data controls, risking improper disclosure and possible violations of donor privacy obligations.
  • Using inconsistent party names or dates across exhibits and the main agreement, which can undermine enforceability and payroll processing.

Potential legal and financial risks

Contract disputes: Breach claims and litigation exposure
Employment claims: Wrongful termination or unpaid wages
Tax issues: Incorrect withholding or 1099 misreporting
Fundraising compliance: State registration or reporting violations
Nullification risk: Improper execution may affect enforceability
Operational delay: Onboarding and compensation hold-ups
