What the Dilution Instruction Template Is and when it’s used

A Dilution Instruction Template is a written directive used by a company’s board, authorized officers, or transfer agent to record and implement changes in a company’s capital structure that reduce existing holders’ percentage ownership. Typical uses include issuing new shares, converting convertible instruments, executing stock splits, or recording corrective share ledger adjustments. The template formalizes the parties involved, the security class and quantities, the effective date, approval source (board resolution or shareholder vote), and any conditions for issuance. It helps ensure consistent recordkeeping and provides an auditable trail for corporate officers, registrars, and legal counsel.

Why a clear Dilution Instruction Template matters

Using a consistent template reduces errors in cap table updates, documents approval ambiguity, and legal exposure by ensuring required approvals, effective dates, and quantities are recorded in a single, auditable instrument.

Why a clear Dilution Instruction Template matters

Who typically prepares and who receives this instruction

The Dilution Instruction Template is most often prepared by corporate counsel, the company secretary, or finance teams and distributed to officers, transfer agents, and registrars.

  • General Counsel or Corporate Counsel — drafts language, confirms authority and compliance with charter and bylaws.
  • Chief Financial Officer or Controller — verifies share counts, accounting treatment, and ledger updates.
  • Transfer Agent or Share Registrar — executes ledger changes and issues certificates or electronic ownership records.

Recipients should verify approvals and effective dates before making ledger entries to prevent misallocation or disputed ownership claims.

Primary signatories and their roles

Board Chair

Chair signs when dilution follows an explicit board resolution. Their signature confirms the board-authorized action and is typically required to satisfy internal governance protocols and corporate minute records.

Corporate Secretary

Secretary attests to corporate actions, records approvals in minutes, and delivers the instruction to the transfer agent. This role ensures the instruction matches enacted resolutions and maintains the official record.

Step-by-step: completing and executing the instruction

Follow these steps to complete, approve, and record a dilution instruction without introducing ledger inconsistencies.

  • 01
Draft: Complete all fields, include board resolution reference, and attach supporting exhibits.
  • 02
Review: Legal and finance review for charter compliance, tax consequences, and math accuracy.
  • 03
Approve: Obtain required signatures per bylaws and minutes before distribution.
  • 04
Record: Send to transfer agent and update corporate share ledger immediately upon execution.

Digital workflow configuration for online completion

Set up a consistent e-workflow to reduce manual steps when issuing dilution instructions.

Field Configuration
Template Lock Restrict edits to authorized roles only
Approval Order Configure sequential signing: Legal → Finance → Board Designee
Authentication Require email + SMS code or stronger KBA for board signers
Audit Trail Enable IP, timestamp, and action logging for every signer

Delivery and eSignature considerations for electronic execution

Choose a platform that supports secure signing, detailed audit trails, and integration with your transfer agent or cap table provider.

  • File formats: PDF, DOCX supported
  • Integrations: Connects with NetSuite, Google Workspace, Salesforce
  • Authentication: Email link, SMS code, or advanced KBA

Preserve a tamper-evident signed PDF with audit metadata and, where required, retain video or extra authentication records for regulatory compliance.

Typical electronic routing for a dilution instruction

A standard e-routing sequence reduces manual handoffs and creates a single source of truth for approval and recording.

  • Upload Document: Authorized drafter uploads the completed template to the signing platform.
  • Place Fields: Add signature, date, and calculation fields for signers and approvers.
  • Add Signers: Assign roles and set signer order according to bylaws.
  • Audit & Archive: Platform captures timestamps, IP, and stores final signed PDF.

What a professional Dilution Instruction Template should include

Include clear, auditable elements that enable transfer agents and internal teams to act without follow-up or ambiguity.

Authority Reference

Cite the board resolution, shareholder approval, or charter provision authorizing the issuance and reference the minutes or resolution ID for verification.

Effective Date

State the precise effective date and time for the issuance; this governs dividends, voting, and ledger priority.

Security Identification

Clearly identify class, series, CUSIP if available, and whether shares are restricted, vested, or subject to transfer restrictions.

Quantity and Calculations

Show pre-issue outstanding, number issued, post-issue total, and resulting percentage calculations to prevent rounding or math disputes.

Conditions and Restrictions

Note any conditions precedent, vesting schedules, or legend language required by securities law or investor agreements.

Attachments

Attach the board resolution, subscription or purchase agreements, and any required tax forms or investor consents as exhibits.

Timing, deadlines, and processing expectations

Understand timing impacts on tax reporting, ledger updates, and investor communications to ensure compliance and avoid penalties.

Effective Date vs Record Date:

Record the effective date clearly; many rights (voting/dividends) use an explicit record date tied to this instruction.

Transfer Agent Processing:

Allow 1–5 business days for transfer agent to update electronic ledgers, longer if certificates issued.

Tax Reporting:

Report taxable events by the tax-year deadlines that apply to the affected parties.

Internal Filing:

File executed instruction with corporate minutes and ledger immediately to maintain an auditable trail.

Board Minute Entry:

Enter the resolution and instruction reference in the next official board minutes cycle.

Common preparation pitfalls to avoid

  • Failing to cite the specific board resolution or shareholder approval leads to delays and disputes about authority.
  • Using inconsistent share class names causes transfer agent confusion and can result in misapplied issuances.
  • Omitting calculation details or using rounded percentages can create discrepancies in cap table reconciliation.
  • Not attaching subscription or purchase agreements forces manual follow-up and increases the risk of incorrect ledger entries.

Consequences of incorrect or incomplete instructions

Transfer Errors: Incorrect ledger entries
Investor Disputes: Contested ownership claims
Tax Exposure: Misreported taxable events
Regulatory Risk: Securities compliance issues
Operational Delay: Slower closings and funding
Reputational Harm: Eroded investor confidence

  • The transfer agent processed all conversions the same day, reducing reconciliation work and preventing ownership disputes during the financing round.

Board-Approved Stock Issuance

A company issued preferred shares pursuant to a board resolution and used the instruction to record the issuance with the transfer agent.

  • It specified certificates and legend requirements.
  • The clear attachments and exact calculations avoided delays in investor reporting and ensured shareholder ledgers matched accounting records without follow-up.
