What a Director ROFR Agreement Is and What It Covers

A Director ROFR Agreement is a contractual provision giving one or more company directors the right of first refusal to buy shares or interests that an owner proposes to sell. The document defines triggering events, the notice process, how an outside offer is matched, valuation and payment terms, timelines to exercise the right, and any transfer restrictions. It coordinates with corporate bylaws and shareholder agreements to preserve board composition and prevent unwanted third‑party investors by ensuring directors can match bona fide offers before the sale closes to an outside buyer.

Why a Director ROFR Agreement Matters for Governance

It protects board continuity, reduces the risk of hostile ownership changes, and gives directors a structured, contractual opportunity to acquire offered equity under specified terms instead of allowing an immediate third‑party transfer.

Why a Director ROFR Agreement Matters for Governance

Who Typically Uses a Director ROFR Agreement

Use this agreement alongside corporate governance documents to make transfer procedures predictable and enforceable for all parties.

  • Company directors and existing equity holders who want priority access to new sale offers within the ownership group.
  • General counsel or corporate counsel who administer transfer restrictions and ensure compliance with bylaws and shareholder agreements.
  • Investors and sponsoring firms that require preemption rights to manage ownership dilution and protect strategic control.

Core Components You Should Expect in the Agreement

A professional Director ROFR Agreement clearly defines the event triggers, matching mechanics, and procedural timelines so parties avoid ambiguity at the time of a transfer.

Trigger Events

Specifies which transfers activate the ROFR, for example third‑party sale offers, transfers to affiliates, or certain equity repurchases; avoids broad or vague trigger language.

Notice Requirements

Describes how the seller must present the third‑party offer to directors, including required documents, electronic delivery options, and the precise information needed to permit an informed decision.

Valuation Method

Defines how price is determined—match the bona fide offer, fixed price formula, appraisal, or agreed valuation mechanics to reduce later disputes over value.

Exercise Window

Sets the number of days a director has to accept or decline the offer; typical windows are 15–45 days but must be explicit to be enforceable.

Payment Terms

Outlines payment timing, installment options, escrow, closing conditions, and any security for deferred payments to ensure clarity at acquisition.

Transfer Limitations

Records any continued restrictions post‑sale such as lockups, right of repurchase, or covenants that survive a sale to maintain governance stability.

Step-by-step: How to Complete and Execute the Agreement

Follow this sequence to prepare, circulate, and finalize a Director ROFR Agreement with minimal friction and legal risk.

  • 01
Prepare Draft: Assemble terms, parties, and exhibits.
  • 02
Internal Review: Legal and finance review for consistency.
  • 03
Deliver Notice: Provide ROFR notice per agreement terms.
  • 04
Execute: Collect signatures and record execution date.

How an ROFR Exercise Typically Unfolds

This high-level flow explains what happens from receipt of a third‑party offer through closing if a director elects to exercise the right.

  • Third‑Party Offer: Seller receives an outside bona fide purchase offer.
  • Seller Notice: Seller provides required documentation to directors.
  • Director Decision: Director reviews offer and decides within the exercise window.
  • Closing: If exercised, parties close under the same material terms.

Typical Timelines and Deadlines to Include

Specify precise timeframes in the agreement so parties know when notices, responses, and closings must occur.

Notice Delivery Deadline:

Seller must deliver full offer documentation within 3 business days of receiving a third‑party offer.

Exercise Period:

Director typically has 15–45 days to accept under the agreement's stated window.

Matching Terms Deadline:

Acceptance must match the material economic and closing terms of the third‑party offer.

Closing Date:

Set a closing deadline tied to the original offer to avoid indefinite extensions.

Extension Procedures:

Define how and when parties can agree to extend deadlines in writing.

Key Milestones from Offer to Closing

Numbered stages clarify obligations and help automated systems track progress for each ROFR event.

01

Offer Received

Seller obtains a bona fide purchase offer from a third party.

02

Offer Notice Sent

Seller transmits offer materials to directors within the notice period.

03

Director Response

Director accepts or declines within the stated exercise window.

04

Transaction Close

Closing occurs under matched terms or third‑party sale proceeds if declined.

Common Pitfalls to Avoid When Drafting or Using This Agreement

  • Failing to define what constitutes a 'bona fide' third‑party offer can create scope disputes and litigation risk later.
  • Leaving valuation or price matching methods unspecified often results in conflicting interpretations during an exercise.
  • Using vague notice or delivery rules (no method or recipient specified) delays exercise windows and can impair enforceability.
  • Ignoring corporate charter or shareholder agreement conflicts may render ROFR provisions inconsistent with existing transfer restrictions.

Practical Risks and Consequences of an Incorrect Agreement

Enforceability Risk: Ambiguous terms may lead to unenforceable rights.
Litigation Exposure: Disputes over notice or valuation increase litigation risk.
Tax Consequences: Incorrect reporting may create tax liabilities.
Transfer Invalidity: Improper execution can void a transfer.
Loss of Priority: Failure to follow the notice process may forfeit the ROFR.
Delay Costs: Unclear timelines can increase transaction costs.

Security and Compliance Considerations for Electronic Execution

ESIGN / UETA: Electronic signatures valid if consent and intent present.
Encryption: Use TLS 1.2/1.3 in transit, AES‑256 at rest.
Audit Trail: Capture timestamps, IP, and signer actions.
HIPAA (if health data): BAA required when PHI is present.
21 CFR Part 11: Required in FDA‑regulated electronic records contexts.
Access Controls: Role‑based access and strong user authentication.
