What the Director's Interest Notification Is

A Director's Interest Notification is a formal statement by a corporate director disclosing any personal, financial, or business interests that could conflict with the corporation's interests. It documents ownership stakes, directorships, contractual relationships, or material transactions involving the director. The notice becomes part of corporate records and supports board transparency, conflict-of-interest screening, and later audit or regulatory review. Many boards require timely written disclosure when an interest arises or changes, and some jurisdictions or bylaws specify filing or retention procedures for these statements.

Why timely disclosure matters

Filing a Director's Interest Notification protects the corporation and director by creating a clear record of potential conflicts, enabling informed board decisions and compliance with fiduciary duties. Electronic delivery and retention help satisfy ESIGN (15 U.S.C. ch. 96) and state UETA rules for admissible records while preserving audit trails for governance and regulatory review.

Why timely disclosure matters

Typical users and recipients

Directors, company secretaries, general counsel, and board administrators are the primary creators or recipients of these notifications.

  • Corporate directors: report direct or indirect interests, concurrent roles, and related-party transactions.
  • Board secretaries: collect, catalogue, and store notifications in the corporate minute book.
  • Legal and compliance teams: review disclosures and advise on conflicted voting or recusal.

Core components to include

A professional Director's Interest Notification is concise, factual, and includes identifying details plus a clear description of the interest and any dates or amounts involved.

Director ID

Full legal name and title, business address, and a corporate identifier if applicable; this anchors the disclosure to the correct corporate record.

Interest Type

State whether the disclosure concerns ownership, employment, contract, creditor/debtor relationship, or other material financial interest.

Interest Details

Describe the interest plainly, include percentages, contract terms, counterparty names, relevant dates, and monetary thresholds when known.

Related Party

Identify any related persons or entities (family members, controlled corporations) to clarify indirect conflicts or indirect economic benefit.

Effective Dates

Provide the date the interest arose, expected duration, and any renewal or termination provisions that affect exposure.

Certification

A signed statement that the disclosure is complete and accurate to the director's knowledge; include signature date and method of signature.

Annual Reconfirmation:

Common preparation mistakes to avoid

  • Vague descriptions: failing to quantify interest or identify the counterparty makes review difficult and increases follow-up.
  • Inconsistent names: using nicknames or abbreviations can prevent matching the disclosure to other corporate records.
  • Missing dates: omitting the date the interest arose complicates timeline and recusal assessments.
  • Unsigned submissions: unsigned or improperly authenticated notices may be treated as incomplete or nonbinding.

Potential consequences of incorrect or missing disclosures

Fiduciary Breach: Possible liability to the corporation
Board Sanctions: Recusal, removal, or disciplinary action
Contract Risk: Related transactions may be voidable
Regulatory Scrutiny: Increased audit or enforcement risk
Reputational Harm: Public disclosure can damage trust
Documentation Gaps: Incomplete records hinder defense
