What a DIRT Program Agreement Covers

DIRT Program Agreement is a standardized contract that records the terms for participation in a DIRT program, a structured process used to identify, document, and manage damaged assets or incidents. The agreement defines parties, scope of work, reporting obligations, timelines for inspection and remediation, data access and retention, and allocation of costs and liabilities. It also specifies performance standards, dispute resolution mechanisms, insurance and indemnity provisions, and confidentiality requirements. Organizations use this agreement to create clear operational expectations and to establish a record suitable for audit, insurance, and regulatory review.

Why a Clear Agreement Matters

A well-drafted DIRT Program Agreement reduces ambiguity by assigning responsibilities, protecting confidential information, and establishing timelines and remedies. It helps organizations manage compliance risks, streamline incident response, and produce a documented audit trail for insurers and regulators.

Why a Clear Agreement Matters

Who Typically Completes the Agreement

Typical users who complete and sign DIRT Program Agreements include facility owners, contractors, insurers, and program managers.

  • Facility owners and property managers controlling assets and coordinating repairs.
  • General contractors and remediation firms performing inspections, repairs, and documentation.
  • Insurance adjusters, claims teams, and third-party administrators overseeing loss assessment and reimbursement.

Legal counsel and compliance officers also review agreements to confirm liability language and retention policies.

Representative Signer Profiles

Program Manager

Oversees program operations, coordinates inspections, assigns remediation tasks, and maintains the DIRT tracking log. Responsible for ensuring reporting deadlines, supervising contractor performance, and liaising with insurers and regulators to support claims and compliance reviews.

Contractor

Performs on-site assessments, documents damage, provides cost estimates, and completes remediation work per the agreement. Must follow reporting formats, meet performance standards, and supply invoices and lien releases where required for payment and insurance reconciliation.

Core Sections to Include in a Professional DIRT Program Agreement

A comprehensive agreement groups essential clauses so responsibilities, timelines, and remedies are easy to locate. The following six elements form the agreement backbone and reduce interpretive disputes between parties.

Parties & Authority

Identify each party, legal entity names, authorized signers, and the basis for signer authority such as corporate resolution or power of attorney.

Scope of Work

Describe inspection procedures, deliverables, acceptance criteria, and specific remediation tasks to avoid scope creep and disagreements.

Schedule and Milestones

Set inspection windows, reporting deadlines, remediation target dates, and invoicing timelines so performance can be measured.

Payment and Liens

Specify payment terms, invoicing requirements, and any lien waiver or retainage provisions tied to milestone completion.

Insurance & Indemnity

Require proof of insurance, define indemnity limits, and allocate risk for third-party claims and subrogation rights.

Data & Records

State retention periods, permitted access, security measures, and any HIPAA or privacy addenda for protected information.

Required Fields and Security Notes

Participant Legal Name: Exact legal name as on ID
TIN or EIN: Provide EIN or SSN for tax purposes
Effective Date: MM/DD/YYYY format; contract start date
Scope of Work: Clear description of inspections and remedies
Reporting Schedule: Specify frequency, format, and delivery
Data Retention: Retention period and secure storage method

Common Risks and Contractual Penalties

Insurance Denial: Claims reduced or rejected
Contractual Liability: Indemnity shifts costs to party
Regulatory Penalties: Fines for noncompliance
Delay Costs: Daily escalation of repair expenses
Data Breach Risk: HIPAA or privacy exposure
Tax Consequences: Backup withholding if incorrect TIN

Frequent Preparation Mistakes to Avoid

  • Failing to specify which party is responsible for initial inspection and who pays for preliminary assessments causes disputes and delays.
  • Using vague performance standards like 'reasonable effort' rather than measurable criteria leads to differing interpretations and poor enforcement.
  • Omitting retention periods or providing unclear record-keeping instructions can create compliance exposure during insurance audits or regulatory reviews.
  • Not aligning indemnity, insurance, and lien waiver terms increases litigation risk and may delay final payment to contractors.

Typical Signing and Submission Workflow

Routing and submission often follow a clear workflow from inspection to final closeout and record retention.

  • Upload Document: Attach DIRT agreement and supporting photos.
  • Assign Fields: Place signer, date, and initials fields appropriately.
  • Send to Signers: Email or secure link sent to identified signatories.
