Recitals and Purpose

This Discount Contract Agreement (the Agreement) sets forth the terms under which Provider will extend specified discounts to Purchaser for the purchase of goods and/or services described in the Discount Schedule below. The parties agree that discounts granted under this Agreement shall be applied only in accordance with the schedule, conditions and reporting requirements set forth herein.

Definitions

"Discount Period" means the stated Effective From and Effective To dates for each Discount Schedule line. "Net Invoice Amount" means the invoice amount after any returns, credits and applicable taxes unless otherwise specified. "Minimum Purchase Requirement" means the minimum quantity or dollar threshold required for a discount line to apply.

Invoicing, Reporting and Application

Discounts will be applied to Provider's invoices in the manner set forth below. Purchaser must report eligible purchases and claim discounts in accordance with Provider's invoicing cycle.

Payment Terms and Adjustments

Payment of invoices shall be made in accordance with agreed payment terms. Provider may adjust discounts retroactively if audits reveal noncompliance or errors in reported volumes.

Audit, Records and Verification

Provider shall have the right to audit Purchaser's records relevant to discount claims upon reasonable prior notice during normal business hours. Purchaser shall retain records supporting discount eligibility for at least three years following the period to which they relate.

Confidentiality

Each party will treat discount structures, pricing, reports and other non-public terms as Confidential Information and shall not disclose such information except as required by law or with prior written consent of the other party. Confidential Information shall not include information that is public other than by breach of this Agreement.

Representations, Warranties and Indemnification

Each party represents that it has the authority to enter into this Agreement. Purchaser shall indemnify and hold Provider harmless from claims arising out of Purchaser's misuse of discounted goods, inaccurate reporting, or failure to comply with this Agreement. Provider's indemnification shall be limited to losses arising from willful misrepresentation by Provider.

Limitation of Liability

Except for breaches of confidentiality, gross negligence or willful misconduct, neither party shall be liable for incidental, consequential or punitive damages. Each party's aggregate liability under this Agreement shall not exceed the total discounts applied to Purchaser in the twelve (12) months preceding the claim.

Termination

This Agreement may be terminated for material breach by the non-breaching party if the breaching party fails to cure within the specified cure period. Either party may terminate without cause upon prior written notice to the other.

Notices

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state indicated below. Disputes shall be resolved by binding arbitration unless the parties mutually agree otherwise in writing.

Entire Agreement and Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, negotiations and agreements. Any amendment must be in writing and signed by authorized representatives of both parties.
