Either party may terminate this authorization for material breach or failure to perform upon providing written notice of days to the other party. Termination does not relieve the Client of payment obligations for services rendered through the effective date of termination.

CONFIDENTIALITY

Provider and Client agree that any non-public business, technical, or personal information disclosed in connection with this disposal will be kept confidential and used only for the purpose of performing this disposal. Confidential information shall not include information that is or becomes public through no fault of the receiving party or information lawfully obtained from a third party. The obligation of confidentiality survives termination of this form for a period of three (3) years.

Client represents and warrants that it has the authority to transfer or authorize disposal of the items listed and that all information provided, including the presence of hazardous materials, is true and complete to the best of Client's knowledge. Provider warrants that it will perform disposal in compliance with applicable laws, regulations, and permits and will maintain all required records for the period mandated by law.

GOVERNING LAW

This form and any disputes arising under it shall be governed by the laws of the State of without regard to principles of conflicts of law.

ENTIRE AGREEMENT

This Disposal Form, together with any attachments and itemized lists completed hereunder, constitutes the entire agreement between the parties regarding the disposal services described and supersedes all prior negotiations, representations, and agreements, whether written or oral.
